Title and Position. You will continue to serve as the Company’s General Counsel and Secretary. You also will continue to report to the Company’s Chief Executive Officer (“CEO”) and will perform the duties and responsibilities customary for such position and such other related duties as are reasonably assigned by the CEO.

Title/Position. As of the Transition Date, your title shall change to “Senior Advisor,” and you agree that you will be deemed to have resigned from any other office or position you may hold within the Company, except that you will remain employed through the Separation Date as contemplated in this Agreement. You agree to provide any documentation requested by the Company to confirm any such resignation. You further agree that after the Transition Date, you will not have authority to bind the Company and shall not purport to bind the Company to any representation, promise, or agreement, except with the prior written consent of the Company’s CEO.

Position and Title. The Company hereby agrees to employ the Executive in the position described on [Addendum A] attached hereto and the Executive hereby accepts such position and agrees to serve the Company in such capacity until this Agreement is terminated by one of the parties in accordance with the terms set forth in Section 4 below.

Position and Title. The Company will employ Executive as its President and Chief Executive Officer (“CEO”) and Executive accepts employment to serve in such capacity, all upon the terms and conditions set forth in this Agreement.

Position and Title. The Company will employ Executive as its Chief Information Officer, reporting to the Company’s [[Organization A:Organization]], and Executive accepts employment to serve in such capacity, all upon the terms and conditions set forth in this Agreement.

Position and Title. The Company will employ Executive as its President, North America Region, reporting to the Company’s [[Organization A:Organization]], and Executive accepts employment to serve in such capacity, all upon the terms and conditions set forth in this Agreement.

Position and Title. The Company will employ Executive as its Global Corporate Controller & Principal Accounting Officer, reporting to the Company’s Chief Financial Officer, and Executive accepts employment to serve in such capacity, all upon the terms and conditions set forth in this Agreement.

Title; Position; Location. You will continue to serve as the Company’s Vice President, Finance and Chief Accounting Officer. You also will continue to report to the Company’s Chief Financial Officer and will perform the duties and responsibilities customary for such position and such other related duties as are lawfully assigned by the Company’s Chief Executive Officer. You will perform your duties from the Company’s corporate offices located in Burlingame, California (with the exception of the period during which any current shelter-in-place order or similar work-from-home arrangement affecting your employment with the Company remains in effect), subject to customary travel as reasonably required by the Company and necessary to perform your job duties.

Change in Position/Title. On the Effective Date, you will no longer serve as President and Chief Operating Officer of the Company, and will assume the position of Senior Advisor. As Senior Advisor, you will have the powers and duties as may be assigned to you from time to time by the Chief Executive Officer.

Title; Position. You will serve as the Company’s Chief Financial Officer. You will report to the Company’s Chief Executive Officer and will perform the duties and responsibilities customary for such position and such other related duties as are lawfully assigned by the Company’s Chief Executive Officer. You will report for work to the Company’s Redwood City office: 975 Island Dr., Redwood City, CA 94065 on your Start Date.
