Position and Responsibilities. The Company employs Executive, and Executive agrees to serve as Vice President of Manufacturing of the Company and to accept such other responsibilities as may be assigned to Executive by the Company from time to time during the Term of Employment.

Position and Responsibilities. Subject to the Agreement’s terms, Executive agrees to serve as the Head of Strategic Partnerships. Executive shall have the duties and privileges customarily associated with an executive occupying such roles at a publicly-traded company, and shall perform all reasonable acts customarily associated with such roles, or necessary and/or desirable to protect and advance the best interests of the Company. Executive shall report to the Chief Executive Officer (“CEO”) of the Company. If Executive serves as a member of the Board of Directors (the “Board”), for purposes of this Agreement only, all references to the Board shall exclude Executive.

Position and Responsibilities. The Executive shall be employed and serve as the Chief Financial Officer. The Executive shall report directly to the Chief Executive Officer or acting Chief Executive Officer (the “CEO”), or as otherwise directed by the Board of Directors (the “Board”). The Executive shall have such duties and responsibilities commensurate with the Executive’s title, and as CEO or Board may require of the Executive from time to time. The Company may change the Executive’s title, and/or reporting line, from time to time, in its sole discretion.

Position and Responsibilities. During the period of employment hereunder, Employee shall serve as Southern Banking Group President for South Carolina Bank and Trust, N.A. (the "Bank"), a wholly-owned subsidiary and/or affiliate of the Company, or in such other office and authority as may be designated by the Board of Directors of the Company and/or the Bank. Employee shall have the duties, responsibilities, rights, power, and authority that may be from time to time delegated or assigned to him by the Board of Directors of the Company and/or the Bank. Employee acknowledges and agrees that he owes to both the Company and Bank all duties, responsibilities, and obligations set forth in this Agreement, including but not limited to the post-employment restrictions of Paragraphs 8 and 9 of this Agreement, as well as those duties, responsibilities, and obligations imposed on him by all applicable state and federal laws.

During the period of his employment, Executive agrees to serve as Co-Chief Executive Officer of the Company. Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Company. Failure to re-appoint or re-elect Executive as a senior executive officer of the Company without the consent of Executive during the term of this Agreement shall constitute a breach of this Agreement.

During the period of his employment, Executive agrees to serve as the Chief Information Officer of the Company. Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Company. Failure to re-appoint or re-elect Executive as a senior executive officer of the Company without the consent of Executive during the term of this Agreement shall constitute a breach of this Agreement.

Position and Responsibilities. The Company employs Executive, and Executive agrees to serve as Vice President, General Counsel and Corporate Secretary of the Company and to accept such other responsibilities as may be assigned to Executive by the Company from time to time during the Term of Employment.

Position and Responsibilities. The Company employs Executive, and Executive agrees to serve as Vice President & Chief Financial Officer of the Company and to accept such other responsibilities as may be assigned to Executive by the Company from time to time during the Term of Employment.

Position and Responsibilities. The Company hereby employs the Executive to render full-time exclusive services (as defined in Section 1.3 hereof) to the Company during the Term (as hereinafter defined), subject to the direction of the Chief Operating Officer of [[Company:Organization]] or such other person as the President of [[Company:Organization]] (“President”) or the Board of Directors of [[Company:Organization]] (the “Board”) may designate from time to time (the Chief Operating Officer or such other person so designated, the “Supervisor”). In such capacity and subject to such direction, the Executive shall # devote his full professional time and attention, best efforts, energy and skills to the services required of him as an employee of the Company, except for paid time off taken in accordance with the Company’s policies and practices, and subject to the Company’s policies pertaining to reasonable periods of absence due to sickness, personal injury or other disability; # use his best efforts to promote the interests of the Company; # comply with all applicable governmental laws, rules and regulations and with all of the Company’s policies, rules and/or regulations applicable to the employees of the Company, including, without limitation, the Code of Business Conduct and Ethics of the Company as amended from time to time; and # discharge his responsibilities in a diligent and faithful manner, consistent with sound business practices and in accordance with the Supervisor’s directives. As of the Effective Date of this Agreement, the Executive will serve as President – Irrigation of the Company.

The Executive shall serve in an executive capacity as Chief Operating Officer of both the Corporation and the Partnership with duties consistent therewith and shall perform such other functions and undertake such other responsibilities as are customarily associated with such capacity, and shall report to the President and/or Chief Executive Officer of the Corporation. The Executive shall also hold such directorships and officerships in the Corporation, the Partnership and any of their subsidiaries to which, from time to time, the Executive may be elected or appointed during the term of this Agreement.
