Position and Duties. Subject to the terms set forth herein, the Company agrees to employ Executive in the position of Chief Financial Officer, Executive Vice President, Finance and Treasurer. During the Executive’s employment, Executive will report to the Chief Executive Officer. Executive shall serve in an employee capacity and shall perform such duties as are assigned to Executive by the Chief Executive Officer and, except as otherwise instructed by the Chief Executive Officer, such other duties as are customarily associated with the position of Chief Financial Officer, Executive Vice President, Finance and Treasurer. During Executive’s employment with the Company, Executive will devote Executive’s best efforts and substantially all of Executive’s business time and attention (except for vacation periods as set forth herein and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies or as otherwise set forth in this Agreement) to the business of the Company.

Position and Duties. During the Term, the Executive shall serve as the Chairman, President and Chief Executive Officer of the Company and the Employer, and shall have supervision and control over and responsibility for the day-to-day business and affairs of the Company and the Employer and shall have such other powers and duties as may from time to time reasonably be prescribed by the Board of Directors of the Company (the “Board”), provided that such duties are consistent with the Executive’s position or other positions that he may hold from time to time. While the Executive remains Chief Executive Officer of the Company, he will be nominated for re-election to the Board each year and shall remain Chairman if re-elected. The Executive shall devote his full working time and efforts to the business and affairs of the Company and the Employer. Notwithstanding the foregoing, # the Executive may serve on other boards of directors, with the approval of the Board, or engage in religious, charitable or other community activities as long as such services and activities are disclosed to the Board and do not materially interfere with the Executive’s performance of his duties to the Company and the Employer as provided in this Agreement, and # the Executive may actively pursue and manage personal investment and business opportunities provided that these activities do not violate the provisions of Section 8(d) of this Agreement and do not materially interfere with the Executive’s performance of his duties to the Company and the Employer as provided in this Agreement.

Position and Duties. The Executive shall serve as the Chief Scientific Officer of the Parent Company and shall have such powers and duties commensurate with the position of Chief Scientific Officer and as may from time to time be prescribed by the Chief Executive Officer (the “CEO”) or the “CEO’s Designate” (as defined below). At all times during the Term, the Executive shall report to the CEO or the CEO’s Designate. For purposes of this Agreement, “CEO’s Designate” shall mean such other person discharging the duties of the CEO. The Executive shall devote the Executive’s full working time and efforts to the business and affairs of the Company. Notwithstanding the foregoing, the Executive may serve on other boards of directors, with the approval of the Board of Directors of the Parent Company (the “Board”), or engage in religious, charitable or other community activities as long as such services and activities are disclosed to the Board and do not interfere with the Executive’s performance of the Executive’s duties to the Company. The Executive will be expected and required to travel as may be reasonable and necessary for the performance of the Executive’s duties for the Company, including without limitation travel to the Company’s headquarters for Board and executive meetings as may be required by the CEO, the CEO’s Designate or the Board from time to time, and travel between the Company’s Boston and Hamilton offices, but otherwise shall not be required to perform the Executive’s services for the Company from any specific location. Notwithstanding the foregoing, the Executive hereby agrees to provide the Company with reasonable advance notice of the Executive’s intention to move the Executive’s residence to any location other than the U.S. state in which the Executive resides at the time of the execution of this Agreement.

Position and Duties. During the Employment Period, you will serve as Chief Financial Officer of the Company and will have the usual and customary duties, responsibilities and authorities of a person in such position and such other duties assigned to you by the Board of Directors of the Company (the “Board”) which are consistent with your position. You will report directly to the Chief Executive Officer. You will devote your full working time, efforts and attention to, and diligently and conscientiously perform the duties of, such position. In addition to performing such duties for the Company, you may be required to perform similar duties for the Company’s existing subsidiaries or affiliates, and/or any subsidiaries and/or affiliates which may be formed or acquired from time to time in the future, including without limitation Tyme Inc., a Delaware corporation (collectively, all such subsidiaries and/or affiliates, including subsidiaries formed after the date hereof, shall be referred to as the “Company Affiliates”). Except for travel for business purposes, you will be employed and your primary offices will be located at the Company office located at [[Address A:Address]] [[Address A:Address]] (the “Company Office”). You represent to the Company that you are not subject to or a party to any employment agreement, non-competition covenant, or other agreement that would be breached by, or prohibit you from executing, this Agreement and performing fully your duties and responsibilities hereunder.

Position and Duties. Executive is hereby employed as of the Effective Date to serve as the President – East Division of the Company. In his capacity as President – East Division of the Company, Executive shall have all of the powers, duties and responsibilities commensurate with such position as shall be assigned to him by the Chief Executive Officer of the Company. In his capacity as President – East Division of the Company, Executive will report directly to the Chief Executive Officer of the Company.

Position and Duties. Executive is the Chief Financial Officer of the Company and reports to the Chief Executive Officer. In this position, Executive has the responsibility for the general management and operation of the Company and the performance of such other executive services and duties as shall be reasonably assigned to and requested of him by, and subject to the direction and supervision of, the Chief Executive Officer and the Board of Directors of the Company. Executive shall serve in any position and office with the Company as the Board of Directors of the Company (the “Board”) may determine from time to time. However, Executive shall always remain as Chief Financial Officer and at the level of a senior executive officer of the Company. During the Employment Period, Executive shall devote substantially all his working time and efforts to the business and affairs of the Company and serve the Company in its business and perform his duties to the best of his ability.

Position and Duties. The Company will employ Employee as the Chief Regulatory & Safety Officer of the Company. Employee will report to the Chief Executive Officer of the Company (the “CEO”) and will render such business and professional services in the performance of his duties, consistent with Employee’s position, as shall reasonably be assigned to him by the CEO or the Company’s Board of Directors (the “Board”).

Position and Duties. During the Term, the Executive shall serve as the Chief Medical Officer for the Company and shall have such powers and duties as may from time to time be prescribed by the Chief Executive Officer of the Company (the “CEO”). The Executive shall devote his full working time and efforts to the business and affairs of the Company. Notwithstanding the foregoing, the Executive may serve on other boards of directors, with the approval of the Board of Directors of the Company (the “Board”) or a committee of the Board, or engage in religious, charitable or other community activities as long as such services and activities are disclosed to the Board and do not interfere with the Executive’s performance of his duties to the Company. As of the Effective Date, the Company has approved # the Executive’s continuing service on the Board of Director for Halodine, LLC a commercial-stage pharmaceutical company focused on resistance-free antiviral, antifungal and antibacterial topical drugs, as well as # the Executive’s providing up to 4 days per month of ophthalmologic patient care activities, provided that such days are approved in advance by the CEO or the Company’s Chief People Officer and that the provision of such patient care activities do not conflict with the Executive’s employment with the Company.

Position and Duties. Subject [[Organization A:Organization]] terms and conditions hereof, the Executive shall continue to serve as Chief Operating Officer of the Company, reporting [[Organization A:Organization]] Chief Executive Officer of the Company (the “CEO”). The Executive shall have such duties and responsibilities commensurate with those typically provided by a chief operating officer of a company that is required to file reports with the Securities and Exchange Commission pursuant to Section 13 or 15(d) of the Securities Exchange Act of 1934, as amended, as may be assigned [[Organization A:Organization]] Executive from time to time by the CEO. 2.1Position. During the Employment Term, the Executive shall continue to serve as the Chief Financial Officer of the Company, reporting to the Company’s Chief Executive Officer (the “CEO”). In such position, the Executive shall have such duties, authority, and responsibilities as determined from time to time by the CEO.
