Position. Commencing on the Effective Date, Executive shall serve as the Chief Financial Officer of the Company, reporting to the Chief Executive Officer of the Company, and shall perform all duties and accept all responsibilities incident to such position and such other duties as may be reasonably assigned to Executive by the Chief Executive Officer of the Company consistent with such position, as set forth below.

Position. During the Term of Employment, the Executive shall serve as the Chief Medical Officer of the Company, working out of the Company’s office in [[Address A:Address]], and travelling as reasonably required by the Executive’s job duties.

Position. During the Employment Term, Executive shall serve as the Chief Accounting Officer of the Company, reporting to the chief executive officer, or at the chief executive officer’s option, the chief financial officer or Board of Directors of the Company (the “Board”). In such position, Executive shall have such duties, authority, and responsibilities as shall be determined from time to time by the chief executive officer (or the person or Board to which he reports), which duties, authority, and responsibilities are consistent with Executive’s position. Executive shall, if requested, also serve as a member of the Board or as an officer or director of any affiliate of the Company for no additional compensation.

Position. From and after the Effective Date, Company shall employ Executive in the position of Senior Vice President – Corporate Development & Investor Relations, or in such other comparable executive position as Company and Executive may mutually agree.

Position. Employee shall be employed by the Company to render services to the Company in the position of Chief Financial Officer of the Company. Employee shall report directly to the Chief Executive Officer (the “CEO”). Employee shall use his good faith efforts to perform such duties and responsibilities and shall have such authorities as are normally related to such position in accordance with the standards of the industry and any additional duties of an executive nature that the CEO now or hereafter assigns to Employee consistent with his position as the Company’s Chief Financial Officer. The principal place of Employee’s employment under this Agreement shall be at the Company’s current offices in Orange County, California or, to the extent permitted by the Company, from the Employee’s home or other remote location, except for travel to other locations as necessary to fulfill the Employee’s duties and responsibilities to the Company.

Position. The Company shall employ you as Executive Chairman of the Board and you agree to provide the services described in [Section 2] hereof. Your employment under this letter is effective as of October 27, 2021, and this letter agreement replaces any prior agreements between you and the Company.

Position. You will continue to be employed in the position of President and Chief Executive Officer (“CEO”) of the Company and will continue to report directly to the Company’s Board of Directors (the “Board”). You are currently serving as a member of the Company’s Board. The Company will use all reasonable efforts to cause you to be nominated for re-election to the Board each time your Board term expires during the Term (as defined in Section 2). You agree to serve as a member of the Board, as well as a member of any Board committee to which you may be elected or appointed. You also agree that, unless otherwise agreed to by you and the Company, you will be deemed to have resigned from the Board and each Board committee voluntarily, without any further action by you, as of the end of the Term or upon a termination of your employment with the Company for any reason.

Position. During the Term, Executive shall serve as Executive Vice President – Integration of the Company, supervising the integration of the business and operations of the Company and BMC and performing such other duties reasonably related thereto as the Board shall determine.

Position. You shall serve as the Executive Vice President, Chief Retail Operations Officer of the Company or in such other or additional positions as the Company’s President, Chief Executive Officer and/or Board of Directors may determine from time to time. In such position, You shall # report to the Company’s President or such other person as the Company may designate from time to time, and # have such duties, authority and responsibility as shall be determined from time to time by the Company’s President, Chief Executive Officer and/or Board of Directors.

Position. You will serve as the Company’s Chief Operations Officer.
