“Negative Pledge” means each of # the Negative Pledge Agreement by and between Administrative Agent and TMK IPSCO Canada, and # the Negative Pledge Agreement by and between Administrative Agent and Blytheville Finance Corporation, in each case, executed in connection with this Agreement, as the same may be amended, restated, supplemented, or modified from time to time.

DEPOSIT PLEDGE AGREEMENT

Stock Pledge Agreement:

"Pledge Agreement" means a pledge agreement, dated as of even date with the Agreement, in form and substance reasonably satisfactory to Agent, executed and delivered by Parent to Agent.

"Accounts Pledge Agreement" means the pledge agreement(s) over the Accounts dated ​ entered into by or on behalf of the ​ and the Programme Trustee.

Participants may not pledge or assign Plan Shares credited to their accounts, nor pledge, assign or transfer any of their rights under the Plan, and any such purported pledge, assignment or transfer shall be void and of no effect. Transaction processing may either be curtailed or suspended until the completion of any stock dividend, stock split or corporate action.
