Plan Incorporated. You accept the PBRSUs hereby granted subject to all the provisions of the Plan, which are incorporated into this Agreement, including the provisions that authorize the Committee to administer and interpret the Plan and which provide that the Committee’s decisions, determinations and interpretations with respect to the Plan are final and conclusive on all persons affected thereby. In the event of a conflict between this Agreement and the Plan, the Plan shall prevail.

Plan Terms Incorporated. All terms used in this Award have the same meaning as given such terms in the Plan. This Award incorporates the provisions of the Plan, a copy of which will be furnished upon request, and such provisions shall be deemed a part of the grant for all purposes.

Plan Incorporated by Reference. This option is issued pursuant to the terms of the Plan and may be amended as provided in the Plan. Capitalized terms used and not otherwise defined in this certificate have the meanings given to them in the Plan. This certificate does not set forth all the terms and conditions of the Plan, which are incorporated herein by reference. The Committee administers the Plan and its determinations regarding the operation of the Plan are final and binding. Copies of the Plan may be obtained upon written request without charge from the Company.

Plan Incorporated By Reference. Notwithstanding anything to the contrary anywhere else in this Option Agreement, this grant of an Option is subject to the terms, definitions, and provisions of the Plan, which is incorporated herein by reference.

Exhibits Incorporated. All Exhibits attached hereto are hereby incorporated into this Agreement.

Public Service Enterprise Group Incorporated (“Company”) hereby establishes the Public Service Enterprise Group Incorporated Equity Deferral Plan (“Deferral Plan”) effective as of ​. The Company maintains the Equity Deferral Plan for a select group of management and highly compensated employees as a means of deferring the receipt of certain equity granted under the Public Service Enterprise Group Incorporated 2004 Long-term Incentive Plan and the Public Service Enterprise Group Incorporated 2021 Long-term Incentive Plan (collectively “LTIP”).

“LTIP” shall mean the Public Service Enterprise Group Incorporated 2004 Long-Term Incentive Plan and the Public Service Enterprise Group Incorporated 2021 Long-Term Incentive Plan.

“Plan” means this Coupa Software Incorporated Incentive Bonus Plan.

History, and Purpose and Amendment. Effective as of ​, Stifel, Nicolaus & Company, Incorporated (“the Company”) established the Stifel, Nicolaus & Company, Incorporated Deferred Compensation Plan. Effective as of ​, the Company established the Stifel, Nicolaus & Company, Incorporated Wealth Accumulation Plan For Administrative Associates. The Company amended and restated the prior plans in the form of the Stifel, Nicolaus & Company, Incorporated 2008 Wealth Accumulation Plan. The Company amended and restated the Plan by an instrument dated ​. The Company now wishes to amend and completely restate the Plan, renamed as the Stifel Financial Corp. Wealth Accumulation Plan.

“Deferral Plan” shall mean the Public Service Enterprise Group Incorporated Equity Deferral Plan.
