Supervision of Support Personnel. Manager shall supervise any and all Support Personnel in performing all non-professional service functions. In addition, Manager shall provide for periodic review and evaluation, including input from Provider, of the performance of any such personnel and shall use reasonable efforts, as practicable, to reassign, terminate, or make rescheduling changes of Support Personnel who are incompatible with Provider Professionals.

Benefits for PTM Personnel. PTM shall also be responsible for providing, and shall pay the cost of, the benefit plans and prerequisites offered to all similarly situated personnel covered by the Personnel Services, in each case to the extent and in accordance with each applicable employee’s employment or services agreement; provided that the payments for such costs have been made in advance to PTM in accordance with Section 6 hereof.

Non-Solicitation of Personnel. During the term of this Agreement and for a period of one (1) year thereafter, Consultant will not directly or indirectly solicit the services of any Company employee or consultant for Consultant’s own benefit or for the benefit of any other person or entity.

Qualifications of Provider’s Personnel. All of Provider’s Personnel shall be well qualified to perform such Services and shall maintain all professional licenses, permits, certificates and registrations required for their performance of the Services.

Party B and Party C hereby agree to accept and strictly follow, to the extent permitted by laws and regulations, and local regulations, advices and instructions provided by Party A from time to time regarding recruitment and termination of its employees, its daily operation management and financial management systems.

Qualification of Service Provider Personnel. Service Provider shall be properly licensed to perform that portion of the Services which require a professional license by law (e.g., engineering design work that must be performed by a licensed professional engineer) and shall be authorized and qualified to do business in all governmental jurisdictions in which the Services are to be performed and will maintain such licenses and qualifications as long as reasonably required to perform the Services. Upon reasonable advance written request of Owners, Service Provider shall furnish to Owners such evidence as Owners may reasonably require relating to Service Provider’s qualifications. The Parties agree that # Service Provider is not to be considered the constructor of the Project or otherwise responsible for the supervision of the construction of the Project, # that Service Provider may not be licensed as a contractor under the laws of the State of Georgia, # the Services being rendered under this Agreement do not constitute construction services under Georgia law, # the Services do not require a contractor’s license under Georgia law, and # Owners are not relying on Service Provider for any contractor license.

Payments for PTM Personnel Services. PTM shall be liable and responsible for all payments in connection with the Personnel Services owed to employees, governments and Other third parties including, without limitation, salaries, wages and other compensation, and shall pay any and all contributions, employer taxes, and assessments which may be required to be paid in respect of unemployment insurance, workers’ compensation, social security, Medicare, tax withholding, and other Obligations; provided such payments have been made in advance to PTM in accordance with Section 6 hereof.

Subject to applicable state law, if the Tenant joins the military during the Lease term and is called to active duty for a period of 180 days or more, the Tenant may terminate this Lease by providing written notice and a copy of the military orders to the Landlord. If, during the term of this Lease, Tenant is a member of the U.S. armed forces and receives permanent change-of-station orders or is deployed for 90 days or more, the Tenant may terminate the Lease by providing written notice and a copy of the military orders to the Landlord. The Lease will be terminated 30 days after the due date of the next Rent payment.
