Personnel. Each party’s Personnel will remain employees, contractors, agents or representatives, as applicable, solely of such party, and will be under the direction, control and supervision of such party.

Personnel. Onboarding Agent shall, and shall cause its Representatives, vendors and invitees to, comply with Owner’s rules and regulations governing access to and conduct on the Designated MDU. Onboarding Agent shall provide Owner’s rules and regulations governing access to and conduct on the Designated MDU to each applicable Provider and will require Provider’s compliance with such rules and regulations. Owner will allow Onboarding Agent and Provider personnel carrying Onboarding Agent or Provider-issued identifications to enter the Designated MDU for the purposes of providing the Onboarding Services or the Management and Internet Services, as applicable, # at mutually agreed upon or scheduled times, # during normal business hours upon ​ prior notice, or # with as much notice as possible under the circumstances (or promptly afterward) for emergency maintenance.

Project Personnel. SBL shall adequately staff the Facility with personnel necessary (including consultants and contractors), and with sufficient technical expertise to perform its obligations under the MSA, and who are up to date on all required trainings under SBL policy and Applicable Laws. Notwithstanding anything to the contrary herein, and in addition to the JSC and Core Team meetings

Patheon will provide appropriate training for all employees. Each person engaged in the manufacture, packaging, testing, storage, and shipping of the Product will have the education, training, and experience necessary, consistent with current cGMP and safety training requirements.

Licensed Personnel. Except to the extent that noncompliance with the following, individually or in the aggregate, would not reasonably be expected to have a Material Adverse Effect, the Licensed Personnel, when acting in their capacities as such, have complied at all times since December 31, 2020 and currently are in compliance with all applicable Health Care Laws, and hold and, at all times that such Persons have been Licensed Personnel of any Loan Party and acting in their capacities as such or since December 31, 2020, if shorter, have held, all Health Care Permits required by applicable Health Care Laws in the performance of such Licensed Personnel’s duties for such Loan Party, and each such Health Care Permit is in full force and effect and no suspension, revocation, impairment, or termination of any such Health Care Permit due to a failure to comply with a Health Care Permit requirement of law is pending or threatened.

Personnel. Each Party will designate appropriate engineering, sales and sales enablement, and marketing resources and/or spending to support the joint go-to-market initiatives, all as mutually agreed in the sales and marketing plan referred to in [clause (a) above].

PERSONNEL. DES will provide services by utilizing the services of such executives, accountants, financial advisers, technical advisers, attorneys, engineers, geologists and other persons as have the necessary qualifications.

Personnel. NOF represents and warrants that # NOF was not, is not and will not be, and it did not, does not, and will not use in any capacity the services of any person, disqualified or debarred under the Generic Drug Enforcement Act, 21 USC 335a, or otherwise disqualified or debarred by the FDA or any other Regulatory Agency and # NOF was not, is not and will not be, and it did not, does not, and will not use in any capacity the services of any person who has been charged or convicted of a crime as defined under the Generic Drug Enforcement Act. If, during the term of this Agreement, NOF becomes aware that either it or any person performing Manufacturing activities hereunder on behalf of NOF has become or may become disqualified or debarred, NOF shall immediately notify Apellis in writing.

Personnel. From and after ​ and throughout the duration of this agreement, Licensee shall maintain the following employees in connection with the performance of its obligations hereunder (subject to initial and ongoing periodic CKI approval reasonably exercised):

Provider Personnel. “Provider Personnel” means all of the employees of Provider and Provider Affiliates who perform any Services. A BFA Recipient may request, and Provider will furnish, a staffing plan regarding Provider Personnel for a Service at any time during the Term.
