Personal Option. This Renewal Option is personal with respect to BILL.COM, LLC, a Delaware limited liability company, a Related Entity to whom this Lease is assigned in accordance with [Section 10.4] or an Ownership Transferee pursuant to a transfer in accordance with Section 10.5. Any assignment of the Lease other than to a Related Entity in accordance with [Section 10.4] or pursuant to a transfer to an Ownership Transferee in accordance with Section 10.5 shall automatically terminate BILL.COM, LLC, a Delaware limited liability company’s rights under this Article XXV. Any subletting of any portion of the Premises other than to a Related Entity in accordance with [Section 10.4] shall automatically terminate BILL.COM, LLC, a Delaware limited liability company’s rights under this Article XXV, unless # such sublease is made in accordance with Section 10.1 and, together with any other subleases meeting the requirements of this [Section 25.5(a)-(c)])], covers only portions of the Premises such that at least two (2) full floors of the Premises are not subject to any sublease (other than a sublease to a Related Entity made in accordance with [Section 10.4]), # at all times during the existence of such sublease(s), BILL.COM, a Delaware limited liability company, its Related Entity pursuant to an assignment or sublease made in accordance with [Section 10.4] or its Ownership Transferee pursuant to a transfer made in accordance with Section 10.5 occupies at least two (2) full floors of the Building, and # the term of each such sublease(s) expires on or before, and the subtenant under each such sublease(s) no longer occupies any portion of the Premises from and after, the date of Tenant’s delivery of the Renewal Notice. Without limitation to the foregoing, Landlord shall have no obligation to deliver a Landlord’s Response or execute an amendment to this Lease pursuant to this Article XXV during any period in which any sublease of any portion of the Premises other than to a Related Entity in accordance with [Section 10.4] is in effect. Time is of the essence with respect to the provisions of this Article XXV.

Personal Information. In connection with this Agreement and the grant of RSUs, the Company may collect, process, use and/or disclose personal information about the Participant. Any such information will be collected, processed, used and/or disclosed in accordance with the Privacy Policy provided to the Participant and available from the Company’s legal department (the “Privacy Policy”). In relation to Participants who reside in Poland, Italy, Germany, Spain or France, the processing of personal information in order to implement, administer, and manage the Plan is justified by reasons other than consent, as explained in the Privacy Policy. Participants who reside in Argentina, the United Arab Emirates, Republic of Korea, Japan and Singapore hereby give explicit consent to the collection, processing, use and/or disclosure of any such personal information. Participants who reside in Australia hereby give consent to the collection, processing, use and/or disclosure of their Tax File Number in order to implement, administer, and manage the Plan, for the purposes of the Privacy Act 1988 (Cth).

The Purchaser shall at all times comply with all Laws governing the protection of Personal Information with respect to Personal Information disclosed or otherwise provided to the Purchaser by the Vendor under this Agreement. The Purchaser shall only collect, use or disclose such Personal Information for the purposes of investigating the Roughrider Property as contemplated by this Agreement and completing the Transactions. The Purchaser shall safeguard all Personal Information collected from the Vendor in a manner consistent with the degree of sensitivity of the Personal Information and maintain at all times the security and integrity of the Personal Information. The Purchaser shall not make copies of, or excerpts of or from, the Personal Information or in any way re-create the substance or contents of the Personal Information if the Transactions are not completed for any reason, and shall return all Personal Information to the Vendor, or destroy such Personal Information, at the Vendor’s request.

Personal Property. Except for the Excluded Property (as such term is defined herein), all right, title, and interest of Seller, if any, in all tangible personal property owned by Seller and not constituting part of the real estate, located on and used in connection with the Premises (the “Personal Property”).

Personal Option. The foregoing option to extend the Lease Term is personal to the Original Tenant signing this Lease and its Permitted Transferee. Further, the rights contained in this Section 2.2 shall only be exercised by the Original Tenant if it is in occupancy of at least ninety percent (90%) of the then-existing Premises on the date it gives the Extension Option Notice, with the intention of continuing to occupy such amount of space during the Extension Period.

Personal Property. All items of Personal Property, if any, are owned outright by Seller, free and clear of any security interest, lien or encumbrance.

Rights Personal. The Extension Right is personal to Tenant and are not assignable without Landlord’s consent, which may be granted or withheld in Landlord’s sole discretion separate and apart from any consent by Landlord to an assignment of Tenant’s interest in this Lease, except that they may be assigned in connection with any assignment of this Lease pursuant to Section 22.

Personal Option. The foregoing right of first refusal to lease the Offered Space is personal to the original Tenant signing this Second Amendment, and may not be assigned or transferred to or exercised by any assignee, sublessee or transferee under a Transfer, except for an Affiliate Transfer.

Personal Option. The foregoing option to extend is personal to the original Tenant signing the Lease (and any Permitted Transferee), but may not be assigned or transferred to or exercised by any other assignee, sublessee or transferee under a Transfer.

The Purchaser’s use and disclosure of Personal Information in connection with the conduct of the Company’s business after Closing will be carried out in compliance with all applicable Laws.
