Benefits and Perquisites. Executive shall be entitled to participate in, to the extent Executive is otherwise eligible under the terms thereof, the benefit plans and programs, and receive the benefits and perquisites, generally provided by the Company to executives of the Company, including without limitation family medical insurance (subject to applicable employee contributions). Executive shall be entitled to not less than 20 vacation days per year, such days to be accrued and used in accordance with Company policy.

Benefits. The Executive shall be entitled to participate in, to the extent Executive is otherwise eligible under the terms thereof, the benefitin all group health and other insurance programs and all other fringe benefits (including 15 days’ vacation) and retirement plans and programs, and receive the benefits and perquisites, generally provided by(including any 401(k) plan) or other compensatory plans that the Company may hereafter elect to executives of the Company, including without limitation family medical insurance (subjectmake available to applicable employee contributions). Executive shall be entitled to not less than 20 vacation days per year, such days to be accrued and used in accordance with Company policy.its

Employee Benefits. You shall be entitledeligible to participate in,in the employee benefit plans and programs maintained by the Company and offered to executive level employees from time to time, to the extent Executive isyou otherwise eligiblequalify under the terms thereof,provisions of any such plans which are incorporated herein by reference. The Company reserves the right to modify its benefit plans and programs, and receive the benefits and perquisites, generally provided by the Company to executives of the Company, including without limitation family medical insurance (subject to applicable employee contributions). Executive shall be entitled to not less than 20offerings as it deems appropriate. The Company's current vacation dayspolicy provides you with four weeks paid vacation per year, such days to be accrued and used in accordance with Company policy.calendar year.

#Standard Company Benefits. Executive shall be entitled to participate in, to the extentall rights and benefits for which Executive is otherwise eligible under the terms thereof,and conditions of the benefit plans and programs, and receive thestandard Company benefits and perquisites, generallycompensation practices, if any, that may be in effect from time to time and are provided by the Company to executives of the Company, including without limitation family medical insurance (subject to applicable employee contributions).its executive employees generally. Executive shall be entitled each calendar year to not less than 2010 days for vacation at full pay, prorated for employment start date. Executive shall also be entitled to reasonable holidays (set annually) and illness days (7 days per year, such days to be accrued and usedcalendar year) with full pay in accordance with the policies applicable to the Company policy.and its affiliates, if any, from time to time in effect. Executive acknowledges and agrees that in order to maintain flexibility, the Company and its affiliates have the right to amend or terminate any employee benefit plan at any time.

Executive shallwill be eligible to participate in the employee benefit plans and programs generally available to the Company’s senior executives, subject to the terms and conditions of such plans and programs. Executive will be entitled to participate in, to the extent Executive is otherwise eligible under the terms thereof, the benefit plans and programs, and receive theother benefits and perquisites, generally provided by the Companyperquisites that are made available to other senior executives of the Company, including without limitation family medical insurance (subject to applicable employee contributions). Executive shall be entitled to not less than 20 vacation days per year, such days to be accrued and usedeach in accordance with and subject to the eligibility and other provisions of such plans and programs. The Company policy.reserves the right to amend, modify or terminate any of its benefit plans or programs at any time and for any reason.
