Procedures and Performance Standards. Without limiting [Section 4.03(e)] or [Section 4.07], at all times, Contractor shall provide Regional Airline Services to American in accordance with the procedures and performance standards approved by American from time to time in its sole discretion and provided to Contractor, including but not limited to those certain Standards of Service set forth in [Exhibit B] hereto. The Standards of Service set forth in [Exhibit B] hereto may be amended or changed by American from time to time upon # to the extent any such amendment or change may reasonably be expected to result in new or additional training of Contractor’s personnel, ​ prior Notice to Contractor and # for all other amendments or changes, ​ prior Notice to Contractor; provided however that no advance Notice to Contractor is required for American to modify the in-flight service sample in [Schedule 1] to [Exhibit B] or the cabin condition sample in [Schedule 2] to [Exhibit B] each of which may be modified at any time by American in its sole discretion. Contractor shall be responsible for all crew and other employee conduct, appearance and training policies (as set forth on [Exhibit C]), aircraft cleaning (including the timing thereof so long as the standards are met), Disinfecting Services, standards and adequate staffing levels in order to comply with such procedures and meet such standards, including without limitation in respect of customer complaint response and any handling of irregular operations, all of which shall be handled in a professional, businesslike and courteous manner. Without limiting Section 3.07 or [Section 4.03(e)], Contractor shall cause its crews to conduct routine clean up and straightening of Covered Aircraft between Scheduled Flights.

Standards of Performance. Executive will at all times faithfully, industriously and to the best of his/her ability, experience and talents perform all of the duties required of and from him/her pursuant to the terms of this Agreement. Executive will devote his/her full business energies and abilities and all of his/her business time to the performance of his/her duties hereunder and will not, without the Company’s prior written consent, render to others any service of any kind (whether or not for compensation) that, in the Company’s sole but reasonable judgment, would interfere with the full performance of his/her duties hereunder. Notwithstanding the foregoing, Executive is permitted to spend reasonable amounts of time to manage his/her personal financial and legal affairs and, with the Company’s consent which will not be unreasonably withheld, to serve on one civic, charitable, not-for-profit, industry or corporate board or advisory committee, provided that such activities, individually and collectively, do not materially interfere with the performance of Executive’s duties hereunder. In no event will Executive engage in any activities that could reasonably create a conflict of interest or the appearance of a conflict of interest. Executive shall be subject to the Company’s policies, procedures and approval practices, as generally in effect from time to time.

Personnel Standards of Performance. Service Provider represents and warrants to Airline that all Fuel Services to be delivered shall # be performed by qualified Personnel in a good, competent and safe manner; # reflect and adhere to the industry standards; # be provided in accordance with the terms and conditions of this Agreement and Exhibits hereto; # comply and comport with all applicable laws or airport rules and/or regulations; and # comply and comport with Airline rules and regulations applicable to the Fuel Services.

Performance Standards. [[BioXcel:Organization]] shall perform the Services in a timely, competent, and workmanlike manner and in a nature and at levels consistent with [[BioXcel:Organization]]’s conduct of its own business.

Performance Standards. Each party shall perform its activities under the Development Plan in accordance with the terms and conditions of this Agreement and Applicable

Performance Standards. On a Collaboration Tumor Type-by-Collaboration Tumor Type basis, Arcturus shall use Commercially Reasonable Efforts to perform the Research Program for each Collaboration Tumor Type in an expeditious manner. In addition, Arcturus shall use Commercially Reasonable Efforts to perform the Formulation Plan in an expeditious manner. Arcturus shall perform each Research Program and the Formulation Program in accordance with the applicable Research Plan and the Formulation Program, respectively, and the terms and conditions of this Agreement. In addition, Arcturus shall use Commercially Reasonable Efforts to perform all Research Plan and Formulation Plan activities in good scientific manner and in compliance with all applicable Laws. Arcturus may engage subcontractors to perform certain of its Research Plan or Formulation Plan obligations, subject to [Section 5.5] (mutatis mutandis).

Performance Standards. Provided AssetMark adheres to RUS’s reasonable written recommendations regarding BETA System use and equipment configuration, in addition to the requirements set forth in this Agreement and in any Schedule, RUS shall provide the BETA Services in accordance with the service level standards set forth in the [Exhibit B] hereto (each, a “Performance Standard”). Notwithstanding anything to the contrary contained herein, the Performance Standards presume that no act or omission of AssetMark has caused BETA to fail to meet an applicable Performance Standard. RUS shall not be liable to AssetMark to the extent that a breach by AssetMark of its obligations under this Agreement results in RUS’s failure to perform
