Performance Bonus. Executive shall be eligible to receive additional annual bonus compensation according to certain milestones and company performance metrics to be established by the Company and otherwise applicable to the Company’s executive team (the “Performance Bonus”). Performance Bonus compensation shall target forty percent (40%) of Base Salary at one hundred percent (100%) achievement of the established milestones and performance metrics, and otherwise will be subject to the Company’s annual Executive Bonus Plan. Performance Bonus compensation may be lower than forty percent (40%) of Base Salary if the performance targets are not met. The Company shall pay any actual Performance Bonus in no event later than March 15 of the calendar year following the calendar year to which the bonus is earned. Executive must be employed on the payment date to be eligible to receive his Performance Bonus. Executive’s target Performance Bonus will be subject to review, and adjustments may be made based upon the Company’s normal performance review practices. The Company reserves the right to modify and/or interpret all of its incentive compensation plans, including the Executive Bonus Plan, at any time.

Performance Bonus. Performance Bonus compensation shall target sixty-five percent (65%) of Base Salary at one hundred percent (100%) achievement of the established milestones and performance metrics, and otherwise will be subject to the Company’s annual Executive Bonus Plan. Performance Bonus compensation may be lower than sixty-five percent (65%) of Base Salary if the performance targets are not met. The terms of the Executive Bonus Plan are typically structured and approved annually by the Board or Compensation Committee, as appropriate. The Company shall pay any actual Performance Bonus in no event later than March 15 of the calendar year following the calendar year to which the bonus is earned. Executive must be employed on the payment date to be eligible to receive his Performance Bonus. Executive’s target Performance Bonus will be subject to review, and adjustments may be made based upon the Company’s normal performance review practices. The Company reserves the right to modify and/or interpret all of its incentive compensation plans, including the Executive Bonus Plan, at any time.

Performance Bonus. For each fiscal year during the Term, Executive shall be eligible to receive a performance bonus based on level of achievement of the Company’s EBITDA (inclusive of any amounts payable under this Section II.C) for such fiscal year relative to the EBITDA target included in the budget approved by the Board for such fiscal year (and taking into account any Board approved adjustments to the budgeted EBITDA during the relevant fiscal year). The amount of the performance bonus shall be $200,000 at 100% achievement, with a minimum bonus of $50,000 at 80% achievement and a maximum bonus of $350,000 at 120% achievement (with linear interpolation between 80% and 120% achievement). If the Company’s EBITDA for such fiscal year is less than 80% of the EBITDA target included in the budget approved by the Board for such fiscal year (and taking into account any Board approved adjustments to the budgeted EBITDA during the relevant fiscal year), then Executive shall not be entitled to any performance bonus under this Section II.C. The determination regarding the satisfaction of the criteria for the performance bonus in this Section II.C shall be made by the Compensation Committee of the Board in good faith after reviewing the financial results of the Company for the relevant fiscal year. Any award payable under this Section II.C shall be paid in accordance with the Company’s regularly established payroll practice within 75 days of the end of the relevant fiscal year. Notwithstanding anything in this Agreement, no Performance Bonus shall be payable under this Section II.C unless the EBITDA of the Company is in excess of $10,000,000 for such fiscal year.

Performance Bonus. In addition to the Executive’s base salary, the Executive shall be eligible for a performance bonus based upon the Executive’s and the Company’s achievement of specified objectives established by the Board during the first quarter of each year after consultation with the Executive, as evaluated by the Board in its discretion. The target bonus for full achievement of all objectives shall be 50% of the Executive’s Base Salary.

PERFORMANCE BONUS. In addition, the Executive may earn performance bonus as follows: # a bonus of US$125,000 upon the achievement of complete Phase 2 study enrollment (US, EU and IL) by July 2020. This bonus is independent of the 2020 annual bonus. Such performance bonus will be payable to the Executive at the next regular payroll date following the satisfaction of the performance criteria, but in no event later than thirty (30) days following the satisfaction of the performance criteria.

Performance Bonus. In addition to the foregoing, the Employee will be paid a one-time bonus of $100,000 less applicable taxes (the “Performance Bonus”), contingent upon either: # successfully securing a capital raise on or before June 30, 2020; or # the Company successfully securing funding through means other than a capital raise (e.g., a Change of Control as defined in Section 6(c) or a significant partnership) such that the Company determines a capital raise prior to June 30, 2020 is no longer in the best interest of the Company.

Performance Bonus. During Executive’s employment under this Agreement, Executive will be eligible for a performance bonus, subject to the terms and conditions of the Company Bonus Plan that are applicable to senior executives of the Company. The target amount of Executive’s annual bonus is eighty percent (80%) of Executive’s annual Base Salary (as defined in the Company Bonus Plan as then in effect). For fiscal year 2020 only, Executive’s annual bonus under the Company Bonus Plan will be guaranteed to be at least sixty percent (60%) of the Executive’s Base Salary (as defined in and calculated in accordance with the Company Bonus Plan then in effect) and shall not be adjusted down for failure to meet corporate objectives under the Company Bonus Plan; provided, however, that all other eligibility requirements under the Company Bonus Plan must be met, including without limitation the requirement that Executive remain an employee in good standing on the day such bonus is paid in order to

Performance Bonus. You will be eligible to receive a discretionary annual performance bonus (“Annual Bonus”) currently targeted at 40% of your annual base salary but which will be granted in the sole discretion of the Board based upon its evaluation of the Company’s and your achievement of such specific performance goals as established by the Board. Your Annual Bonus for 2018, if any, will be pro-rated based on your time at the Company in 2018. You must be an employee of the Company on the date upon which any annual bonus is paid to be eligible for such bonus.

Performance Bonus. Performance Bonus. Due to the particular duties of Employee at the Company, Employee may receive a performance bonus of up to 40% of Employee’s Base Salary (“Performance Bonus”) based upon the following criterion: # attainment of overall the corporate objective(s) according to the milestones set forth in [Schedule 1] attached hereto; and # attainment of personal performance objectives according to the milestones set forth in [Schedule 2] attached hereto. The achievement of and amount of the Performance Bonus as measured by the foregoing criterion shall be determined by the Compensation Committee of the Board of Directors (the “Board”) (or a subcommittee thereof) (the “Committee”) in the sole and absolute discretion of the Committee. Any subsequent year Performance Bonus criterion will be determined by the Committee and attached as an addendum to this Agreement and shall supersede any prior criterion. Executive must remain an active employee through the end of any given Performance Bonus determination, except as expressly contemplated in Section 6 below. The Committee may grant the pro rata payment of the Performance Bonus under certain circumstances in its sole and absolute discretion.
