Other Stock-Based Awards and Performance Cash Awards. Other Stock-Based Awards or Performance Cash Awards may be granted either alone, in addition to, or in tandem with, other Awards granted under the Plan and/or cash awards made outside of the Plan. The Administrator shall have authority to determine the Service Providers to whom, and the time or times at which, Other Stock-Based Awards or Performance Cash Awards shall be made, the amount of such Other Stock-Based Awards or Performance Cash Awards, and all other conditions of the Other Stock-Based Awards or Performance Cash Awards, including any dividend or voting rights and whether the Other Stock-Based Award should be paid in cash.

Other Stock-Based Awards and PerformanceStock or Cash Awards. Other Stock-Based Awards or Performance Cash Awards may be granted either alone,to Participants, including Awards entitling Participants to receive Shares to be delivered in addition to,the future and including annual or other periodic or long-term cash bonus awards (whether based on specified Performance Criteria or otherwise), in tandem with, other Awards granted under the Plan and/or cash awards made outside ofeach case subject to any conditions and limitations in the Plan. The Administrator shall have authority to determine the Service Providers to whom, and the timeSuch Other Stock or times at which, Other Stock-Cash Based Awards will also be available as a payment form in the settlement of other Awards, as standalone payments and as payment in lieu of compensation to which a Participant is otherwise entitled. Other Stock or Performance Cash Awards shall be made, the amount of such Other Stock-Based Awards or Performance Cash Awards, and all other conditions of the Other Stock-Based Awards or Performance Cash Awards, including any dividend or voting rights and whether the Other Stock-Based Award shouldmay be paid in cash.Shares, cash or other property, as the Administrator determines. Subject to the provisions of the Plan, the Administrator will determine the terms and conditions of each Other Stock or Cash Based Award, including any purchase price, performance goal (which may be based on the Performance Criteria), transfer restrictions, and vesting conditions, which will be set forth in the applicable Award Agreement.

Other Stock-Based Awards and Performance Cash Awards. Other Stock-Based Awards or Performance Cash Awards may be granted either alone, in addition to, or in tandem with, other Awards grantedissued under the Plan and/or cash awards made outsidePlan. Subject to the provisions of the Plan. ThePlan, the Administrator shall have sole and complete authority to determine the Service Providersindividuals to whom,whom and the time or times at which,which such Other Stock-Based Awards shall be granted. Each Participant who is granted an Other Stock-Based Award shall enter into an Award Agreement with the Company, containing such terms and conditions as the Administrator shall determine, in its sole discretion, including, among other things, the number of shares of Common Stock to be granted pursuant to such Other Stock-Based Awards, or Performance Cashthe manner in which such Other Stock-Based Awards shall be made,settled (e.g., in shares of Common Stock, cash or other property), or the amountconditions to the vesting and/or payment or settlement of such Other Stock-Based Awards or Performance Cash Awards,(which may include, but not be limited to, achievement of performance criteria) and all other terms and conditions of thesuch Other Stock-Based AwardsAwards. In the event that the Administrator grants a bonus in the form of Shares, the Shares constituting such bonus shall, as determined by the Administrator, be evidenced in uncertificated form or Performance Cash Awards, includingby a book entry record or a certificate issued in the name of the Participant to whom such grant was made and delivered to such Participant as soon as practicable after the date on which such bonus is payable. Notwithstanding anything set forth in the Plan to the contrary, any dividend or voting rightsdividend equivalent Award issued hereunder shall be subject to the same restrictions, conditions and whetherrisks of forfeiture as apply to the Other Stock-Based Award should be paid in cash.underlying Award.

Other Stock-Based Awards. The Committee may in its discretion grant stock-based awards of a type other than those otherwise provided for in the Plan, including the issuance or offer for sale of unrestricted Shares (“Other Stock-Based Awards”). Other Stock-Based Awards shall cover such number of Shares and Performance Cash Awards. Other Stock-Based Awardshave such terms and conditions as the Committee shall determine, including terms that condition the payment or Performance Cash Awards may be granted either alone, in addition to, or in tandem with, other Awards granted under the Plan and/or cash awards made outside of the Plan. The Administrator shall have authority to determine the Service Providers to whom, and the time or times at which, Other Stock-Based Awards or Performance Cash Awards shall be made, the amount of such Other Stock-Based Awards or Performance Cash Awards, and all other conditions of the Other Stock-Based Awards or Performance Cash Awards, including any dividend or voting rights and whethervesting the Other Stock-Based Award should be paid in cash.upon the achievement of one or more Performance Goals.

Other Stock-Based Awards and Performance Cash Awards. Other Stock-Based Awards or Performance Cash AwardsSubject to the terms of this Plan, the Administrator may grant to Participants other types of Awards, which may be granteddenominated or payable in, valued in whole or in part by reference to, or otherwise based on, Shares, either alone,alone or in addition to,to or in tandem with,conjunction with other Awards granted underAwards, and payable in Stock or cash. Without limitation except as provided herein, such Award may include the Plan and/issuance of shares of unrestricted Stock, which may be awarded in payment of director fees, in lieu of cash compensation, in exchange for cancellation of a compensation right, as a bonus, or cash awards made outsideupon the attainment of Performance Goals or otherwise, or rights to acquire Stock from the Plan.Company. The Administrator shall have authority to determine all terms and conditions of the Service Providers to whom, andAward, including but not limited to, the time or times at which, Other Stock-Based Awards or Performance Cashwhich such Awards shall be made, and the amountnumber of Shares to be granted pursuant to such Other Stock-Based Awards or Performance Cash Awards, and all other conditionsto which such Award shall relate; provided that any Award that provides for purchase rights shall be priced at 100% of Fair Market Value on the date of the Other Stock-Based Awards or Performance Cash Awards, including any dividend or voting rights and whether the Other Stock-Based Award should be paid in cash.Award.

Grant of Other Stock-Based Awards and Performance Cash Awards. The Administrator may grant Other Stock-Based Awards or Performance Cash Awards may be granted either alone, in addition to, or in tandem with, other Awards granted under the Plan and/or cash awards made outside of the Plan. The Administrator shall have authority to determine the Service Providers to whom, and the time or times at which, Other Stock-Based Awards or Performance Cash Awards shall be made, the amount of such Other Stock-Based Awards or Performance Cash Awards, and all other conditions of the Other Stock-Based Awards or Performance Cash Awards, including any dividend or voting rights and whether theAwards. An Other Stock-Based Award should be paidis an award of Stock not otherwise described by the terms of this Plan, in cash.such amounts and subject to such terms and conditions, as the Administrator shall determine, in its sole discretion. Such Awards may involve the transfer of actual shares of Stock to grantees, or payment in cash or otherwise of amounts based on the value of shares of Stock.
