Pending Litigation contract clause examples

Litigation and Claims. No litigation, claim, investigation, administrative proceeding or similar action (including those for unpaid taxes) against Borrower is pending or threatened, and no other event has occurred which may materially adversely affect Borrower’s financial condition or properties, other than litigation, claims, or other events, if any, that have been disclosed to and acknowledged by Lender in writing.

Litigation and Other Legal Proceedings. There are no pending, or to the best of Borrower's knowledge threatened, actions, claims, investigations, suits or proceedings by or before any governmental authority, arbitrator, court or administrative agency which could have a material adverse effect on the financial condition or operation of Borrower or any Loan Document other than those disclosed by Borrower to Lender in writing prior to the date hereof.

Litigation - Since June 30, 2017, no legal or administrative action, no unsatisfied judgments, and no pending litigation which reasonably would be expected to have a material adverse effect on the financial condition of Borrower or Bank, have been commenced, instituted, or obtained against Borrower or Bank, and, as of the date of this Agreement, to the knowledge of the Borrower, no written threats thereof have been received by Borrower or Bank.
