No Litigation. (i) No litigation, investigation or proceeding before or by any arbitrator or Governmental Body shall be continuing or threatened against such Applicant Borrower or against the officers or directors of such Applicant Borrower # in connection with this Agreement, the Other Documents or any of the transactions contemplated thereby and which, in the reasonable opinion of [[Organization B:Organization]], is deemed material or # which could, in the reasonable opinion of [[Organization B:Organization]], have a Material Adverse Effect; and # no injunction, writ, restraining order or other order of any nature

No Litigation. (i) Other than the Cases, or as stayed upon commencement of the Cases, no litigation, adversary proceeding, suit, action, or proceeding before or by any Governmental Body shall be continuing or, to the knowledge of any Loan Party, threatened in writing against any Loan Party or against the respective officers or directors of any Loan Party # in connection with this Agreement, the Other Documents, or any of the Transactions and which, in the reasonable opinion of [[Organization B:Organization]], is deemed material or # which could, in the reasonable opinion of [[Organization B:Organization]], have a Material Adverse Effect; and # no injunction, writ, restraining order or other order of any nature materially adverse to any Loan Party or the conduct of its respective business or inconsistent with the due consummation the Transactions shall have been issued by any Governmental Body;

As of the date hereof, no litigation, investigation or proceeding of or before any arbitrator or Governmental Authority is pending against the ​ or, to the knowledge of the ​, threatened by or against, the ​ or any Subsidiary or against any of their respective properties or revenues # with respect to this Agreement or any of the transactions contemplated hereby or # that could reasonably be expected to have a Material Adverse Effect.

No litigation, investigation or proceeding of or before any arbitrators or Governmental Authorities is pending against or, to the Knowledge of the Borrower, threatened against or affecting the Borrower, any of its Subsidiaries or any Associated Practice # as to which there is a reasonable possibility of an adverse determination that could reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect or # which in any manner draws into question the validity or enforceability of this Agreement or any other Loan Document or Related Transaction Document.

Section # Litigation. There is no litigation, arbitration, governmental investigation, proceeding or inquiry pending or, to the knowledge of the Borrower, threatened against or affecting the Borrower or any of its Material Subsidiaries which could reasonably be expected to have a Material Adverse Effect.

SECTION # No Material Litigation. Except as set forth on [Schedule 3.05], no litigation, investigation or proceeding of or before any arbitrator or Governmental Authority is pending or, to the knowledge of a Responsible Officer of ​, threatened by or against ​ or any of ​ # with respect to this Agreement, any of the other Loan Documents or any of the transactions contemplated hereby or thereby or # as to which there is a reasonable possibility of an adverse determination with respect to ​ or any of ​ and that, if adversely determined, could reasonably be expected to have a Material Adverse Effect.

SECTION # Litigation. Except, in each case, as disclosed to the ​ and the Administrative Agent prior to the Effective Date, including as set forth in any report publicly filed with the SEC prior to the Effective Date, # there are no actions, suits, investigations or proceedings by or before any arbitrator or Governmental Authority now pending against or, to the knowledge of any Financial Officer of the Borrower, threatened in writing against or affecting the Borrower or any of its Subsidiaries as to which there is a reasonable possibility of an adverse determination and that, if adversely determined, would reasonably be expected, individually or in the aggregate, to result in a Material Adverse Effect and # there are no actions, suits, investigations or proceedings by or before any arbitrator or Governmental Authority now pending against or, to the knowledge of any Financial Officer of the Borrower, threatened in writing against or affecting the Borrower or any of its Subsidiaries that directly involve this Agreement or the Transactions.

SECTION # Litigation. There are no actions, suits, proceedings, claims or disputes pending or, to the knowledge of the Borrower, threatened in writing, at law, in equity, in arbitration or before any Governmental Authority, by or against the Borrower or any of its Subsidiaries or against any of their properties or revenues that # purport to affect or pertain to this Agreement, any other Loan Document, or the consummation of the transactions contemplated herby or thereby, or # either individually or in the aggregate, if determined adversely, would reasonably be expected to have a Material Adverse Effect.

Section # Litigation and Environmental Matters. (a) There are no actions, suits or proceedings by or before any arbitrator or Governmental Authority pending against or, to the knowledge of the Borrower, threatened in writing against or affecting the Borrower or any of its Restricted Subsidiaries # that would reasonably be expected, individually or in the aggregate, to result in a Material Adverse Effect or # that involve this Agreement, any other Loan Document or the Transactions. Neither the Borrower nor any of its Restricted Subsidiaries is subject to or in default with respect to any final judgments, writs, injunctions, decrees, rules or regulations of any court or any federal, state, municipal or other governmental department, commission, board, bureau, agency or instrumentality, domestic or foreign, that, individually or in the aggregate, would reasonably be expected to result in a Material Adverse Effect.

Section # Litigation. There are no actions, suits or proceedings by or before any arbitrator or Governmental Authority pending against or, to the knowledge of ​, threatened in writing against or affecting ​ or any Restricted Subsidiary # except for the Disclosed Matters, that would reasonably be expected, individually or in the aggregate, to result in a Material Adverse Effect or # that involve any of the Loan Documents or the Transactions.
