Litigation. There shall not exist any action, suit, investigation or proceeding pending or, to the knowledge of a Responsible Officer of the Parent Borrower, threatened in any court or before an arbitrator or Governmental Authority that would reasonably be expected to have a Material Adverse Effect.

Litigation. There shall not exist any action, suit, investigationinvestigation, or proceedingproceeding, pending or, to the knowledge of a Responsible Officer of the Parent Borrower, threatenedor threatened, in any court or before anany arbitrator or Governmental Authoritygovernmental authority that purports to affect the Loan Parties or any transaction contemplated hereby, or that would reasonably be expected to have a Material Adverse Effect.

Section # Litigation. There shall not exist any action, suit, investigationis no litigation, arbitration, governmental investigation, proceeding or proceedinginquiry pending or, to the knowledge of a Responsible Officer of the Parent Borrower, threatened inagainst or affecting the Borrower or any court or before an arbitrator or Governmental Authority that wouldof its Material Subsidiaries which could reasonably be expected to have a Material Adverse Effect.

Litigation. There shall not exist any pending or threatened action, suit, investigation or proceeding pending or, to the knowledge of a Responsible Officer of the Parent Borrower, threatened in any court or before anany arbitrator or Governmental Authority against a Credit Party or any of its Subsidiaries that would have or would reasonably be expected to have a Material Adverse Effect.

Litigation, Investigations, Audits, Etc. There shall not exist anybe no action, suit, proceeding or investigation or proceeding pending against, or, to the knowledge of a Responsible Officerthe Borrower, threatened in writing against or in any other manner relating adversely to, the Borrower or any of the Parent Borrower, threatenedits respective properties, in any court or before anany arbitrator of any kind or before or by any Governmental Authority (including the FCC), except # such as affect the telecommunications industry generally or # as disclosed in the Borrower’s Annual Report on Form 10-K for the fiscal year ended ​, that would reasonably be expected to have a Material Adverse Effect.

Litigation. There shall not exist any action, suit, investigationare no actions, suits, proceedings, claims or proceedingdisputes pending or, to the knowledge of aeach Responsible Officer of the Parent Borrower,Borrowers after due and diligent investigation threatened in any courtwriting, at law, in equity, in arbitration or before any Governmental Authority, by or against any Borrower or any of their Subsidiaries or against any of their properties or revenues # that purport to affect or pertain to this Agreement or any other Loan Document, or any of the transactions contemplated hereby, or # as to which there is a reasonable likelihood of an arbitrator or Governmental Authority that wouldadverse determination, and if determined adversely, could reasonably be expected to have a Material Adverse Effect.

Litigation. There shall not exist any action, suit, investigation or proceeding pending or, toTo the knowledge of athe Responsible OfficerOfficers of the Parent Borrower, there are no actions, suits, proceedings, investigations, civil investigative demands, litigations, claims, disputes or proceedings, pending or threatened or contemplated, at law, in equity, in arbitration or before any Governmental Authority, by or against the Borrower or any of its Restricted Subsidiaries or against any of their respective properties or revenues or orders, decrees, judgments, rulings, injunctions, writs, temporary restraining orders or other orders of any nature issued by any court or before an arbitrator or Governmental Authority that would# purport to affect, pertain to or enjoin or restrain the execution, delivery or performance of the Loan Documents, or any of the transactions contemplated hereby or thereby, # either individually or in the aggregate, could reasonably be expected to have a Material Adverse Effect.Effect, or # purport to affect the legality, validity or enforceability of the Loan Documents or the consummation of the transactions contemplated hereby and thereby.

There shall not existare no actions, suits or proceedings by or before any action, suit, investigationarbitrator or proceedingGovernmental Authority pending against or, to the knowledge of a Responsible Officer of the Parent Borrower, threatened in writing against or affecting the Borrower or any court or before an arbitrator or Governmental AuthorityRestricted Subsidiary # except for the Disclosed Matters, that would reasonably be expectedexpected, individually or in the aggregate, to haveresult in a Material Adverse Effect.Effect or # that involve any of the Loan Documents or the Transactions.
