Option Price. The exercise price per share of Stock covered by an Option ("Option Price") shall be determined by the Committee subject to the limitations described in this [Section 6.3] of the Plan. The Option Price shall not be less than 100% of the Fair Market Value of such Stock on the Award Date. In addition, an ISO granted to a Key Employee who, at the time of grant, is a 10% Stockholder, shall have an Option Price which is at least equal to 110% of the Fair Market Value of the Stock on the Award Date.
Option Price. Other than in connection with Substitute Awards, the option price per each Share purchasable under any Option granted pursuant to this Article shall not be less than 100% of the Fair Market Value of one Share on the date of grant of such Option. Other than pursuant to [Section 12.2], the Committee shall not without the approval of the Company’s stockholders # lower the option price per Share of an Option after it is granted, # cancel an Option in exchange for cash or another Award (other than in connection with Substitute Awards), or # take any other action with respect to an Option that would be treated as a repricing under the rules and regulations of the principal securities exchange on which the Shares are traded.
Option Price. The exercise price of an Option shall be the Fair Market Value of the Stock at the time the Option is granted.
Option Price. The purchase price per share at which a share of Common Stock will be sold in any Offering Period shall be ninety-five percent (95%) of the fair market value of the Common Stock on the Purchase Date as defined in [Section 8] below (the “Option Price”).
Option Price. If the Option Price is less than Fair Market Value on the date that the Option is granted, then the terms of the Option must comply with the requirements of §409A of the Code.
Payment of Option Exercise Price. The payment of the Exercise Price of an Option granted under this [Section 2] shall be subject to the following:
Option Payment. Payment of the option price shall be made in U.S. dollars or in the capital stock of the Company valued at its fair market value (in accordance with [Section 5.4] of the Plan), or a combination of such capital stock and cash.
For each Option or SAR, a cash payment equal to the excess of the Change of Control price of the Shares covered by the Option or SAR that is so cancelled over the purchase or grant price of such Shares under the Award;
“Options Purchase Price” means, as applicable, the First Put Option Purchase Price, the Second Put Option Purchase Price, the Third Option Purchase Price, the Call Option Purchase Price, the Accelerated Put Option Purchase Price or the Annual Accelerated Put Option Purchase Price.
Medium and Time of Payment. The option exercise price shall be payable in full on or before the option Exercise Date by certified or bank cashiers check.
