Payment of Expenses. The Parent Borrower agrees to reimburse the Administrative Agents for all reasonable and documented out-of-pocket expenses incurred by the Administrative Agents in connection with the preparation, execution, and delivery of this Agreement, including the reasonable fees, charges, and disbursements of Moore & Van Allen PLLC.

Expenses. The Parent Borrower agrees to reimburse the Administrative AgentsAgent upon demand for all reasonable and documented out-of-pocket expenses paid or incurred by the Administrative AgentsAgent, including, without limitation, reasonable fees, charges and disbursements of outside counsel to the Administrative Agent incurred in connection with the preparation, execution,negotiation and deliveryexecution of this Agreement, including the reasonable fees, charges,Amendment and disbursements of Moore & Van Allen PLLC.any other document required to be furnished herewith.
