Payment of Awards. Awards shall be paid to the Participant as soon as administratively practicable following the end of the Performance Period, but in any event, no later than two and one-half months following the end of such Performance Period or the calendar year in which the Award is no longer subject to a “substantial risk of forfeiture” (within the meaning of [Section 409A]), unless deferred as described in [Section 5] of this Plan. Awards will be paid in cash as determined by the Committee. Payment of Awards may be subject to such vesting, forfeiture, transfer or such other restrictions (or any combination thereof) as the Committee shall specify.

Section # Payment of Awards. AwardsAn Award shall be paid tonot become payable unless, after the Participant as soon as administratively practicable following the endexpiration of the Performance Period, the Committee has certified either that the Performance Objectives with respect to such Award have been satisfied or the level of attainment of each Performance Objective. Unless otherwise expressly stated in the terms and conditions of a particular Award, the Committee retains the power, authority and discretion to reduce or eliminate, but not to increase, the amount calculated as payable under the terms of any Award in any event,order to reflect other performance criteria. Payment of such Awards that have been certified shall be made to Participants in a single lump sum in cash at such time determined by the Committee, and generally no later than two and one-half months followingafter the end of suchthe Performance Period orPeriod; provided that unless otherwise clearly specified in the terms and conditions of a particular Award, payment shall be made no later than 2-1/2 months after the end of the calendar year induring which the Award isbecame vested, or as soon as practical thereafter. In no longer subjectevent shall any Participant receive an Award payment or payments in any fiscal year that exceeds the lesser of # ​ or # 400% of the Participant’s base salary (prior to a “substantial riskany salary reduction or deferral elections) as of forfeiture” (within the meaningdate of [Section 409A]), unless deferred as described in [Section 5]grant of this Plan. Awards will be paid in cash as determined by the Committee. Payment of Awards may be subject to such vesting, forfeiture, transfer or such other restrictions (or any combination thereof) as the Committee shall specify.Award.

Awardsthe Award payable as determined by the Committee for the Performance Period shall be paid to the Participant at such time as soon as administratively practicable followingdetermined by the Committee in its sole discretion after the end of the Performance Period, but in any event, no later than two and one-half monthsall events by March 15th of the calendar year following the end of suchthe Performance Period or the calendar yearPeriod. Award payments shall be made in which the Award is no longer subject to a “substantial risk of forfeiture” (within the meaning of [Section 409A]), unless deferred as described in [Section 5] of this Plan. Awards will be paid in cash as determined by the Committee. Payment of Awards may be subject to such vesting, forfeiture, transfer or such other restrictions (or any combination thereof)cash. Except as the Committee may otherwise determine in its sole and absolute discretion, termination of a Participant’s employment prior to the end of the Performance Period will result in the forfeiture of the Award by the Participant, and no payments shall specify.be made with respect thereto.
