Expenses. The Company shall be solely responsible for paying, from the purchase price, the BITCENTRO fees up to $10,000 for legal counsel and accountants. BITCENTRO and/or its shareholders will be responsible for any other expenses and any taxes due, if any, as a result of the stock sale contemplated herein.

EXPENSES. The Company agrees to reimburse the Director in full for any Expenses incurred by the Director in connection with investigating, preparing for, litigating, defending or settling any action brought by the Director under Clause 11(a) above, or in connection with any claim or counterclaim brought by the Company in connection therewith.

Expenses. Whether or not the transactions contemplated by this Agreement are fully consummated, each Guarantor shall promptly pay (or reimburse, as the Administrative Agent may elect) all costs and expenses which the Administrative Agent has incurred or may incur in connection with the negotiation, preparation, reproduction, interpretation, administration and enforcement of this Agreement and all amendments, waivers, modifications and supplements hereto and the collection of all amounts due hereunder.

The Executive shall be entitled to receive prompt reimbursement for all reasonable expenses incurred by the Executive during the Term in performing services hereunder, in accordance with the policies and procedures then in effect and established by the Company for its U.S. executive officers.

All such expenses incurred by the newly formed Ai-nova Acquisition Corporation shall be borne by both Avant Technologies and Ainnova Tech to the maximum extent permitted by Applicable Law including, without limitation, expenses relating to the formation of Ai-nova Acquisition Corporation, any registration charges, taxes, fees and expenses relating to required governmental or regulatory approvals, notary fees and legal fees and expenses shall be shared equally.

Expenses. The Company will reimburse Executive for reasonable expenses incurred by Executive in the furtherance of the performance of Executive’s duties hereunder including reimbursed office rent expense if any is paid by the Executive, in accordance with the Company’s expense reimbursement policy as in effect from time to time.
