Patent Coordinators. Each Party may replace its Manufacturing Coordinator with an alternative representative at any time with prior written notice to the other Party. The Manufacturing Coordinators shall be responsible for facilitating information exchange and discussion between the Parties regarding the supply of Products under this Agreement. Each Manufacturing Coordinator shall be subject to the authority of the JSC. Each Party will be responsible for all of its own costs with respect to its Manufacturing Coordinator.

Merchandise Coordinator Program. Licensee may use its own merchandise coordinators provided that Licensee establishes a contact person who shall work with THL’s representatives in respect of Licensee’s merchandise coordinators. THL may review the performance of Licensee’s coordinators and, if THL reasonably determines that Licensee’s coordinators are not performing at a level consistent with industry standards, then THL shall so notify Licensee, specifying the inadequate performance in reasonable detail. Within 45 days after its receipt if such notice, Licensee shall remedy the inadequate performance.

Coordinators. The Project Coordinators for this Agreement will be designated by each of the parties from time to time. Each Project Coordinator will be responsible for overall supervision of activities on behalf of such party pertinent to this Agreement and tasks outlined in the Development Plan and/or Statements of Work. With respect to each Statement of Work, the Project Coordinators will be responsible for # arranging meetings, visits and consultations between the parties concerning the technical matters related to such Statement of Work; # scheduling and making arrangements for joint meetings and chairing periodic technical status reviews; # proposing, assessing and processing changes to such Statement of Work, which must be in writing and signed by authorized representatives of both parties; and # coordinating any information exchanges between the parties relating to such Statement of Work. Either party may change its Project Coordinators at any time without prior notice. The Project Coordinators are not authorized to modify or change any term or condition of this Agreement.

Licensed Patent Rights. Subject to [Section 10.1.3], Enanta, acting through patent counsel or agents of its choice, shall be solely responsible, at its sole cost and expense, for the preparation, filing, prosecution and maintenance of the Licensed Patent Rights. In accordance with [Section 10.1.5], Enanta will collaborate with Abbott on the preparation, filing and prosecution of the Licensed Patent Rights worldwide by providing Abbott with copies of any substantive office actions and setting up meetings with respective Patent Coordinators to discuss strategies and responses.
