This Agreement shall be binding upon and inure to the benefit of [[Company:Organization]], [[Banks:Organization]], the Agent and their respective successors and assigns, except that [[Company:Organization]] may not assign or transfer any of its rights or obligations under this Agreement without the prior written consent of each Bank.

This Agreement shall be binding upon, and shall inure to the benefit of, [[Organization A:Organization]], [[administrative agent for the Banks:Organization]], [[Organization B:Organization]] and their respective successors and permitted assigns. Except as provided in [Section 7.01], the [[Organization A:Organization]] may not assign or transfer any of its rights or obligations hereunder or under any other Loan Document without the prior written consent of all [[Organization B:Organization]] (and any attempted such assignment or transfer without such consent shall be null and void).

This Agreement shall be binding upon and inure to the benefit of Borrower and Bank and their respective successors and assigns, except that Borrower shall not have the right to assign or otherwise transfer its rights hereunder or any interest herein without the prior written consent of Bank.
