Partial Indemnity. If the Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for a portion of any Losses in respect of a Claim related to an Indemnifiable Event but not for the total amount thereof, the Company shall nevertheless indemnify the Indemnitee for the portion thereof to which the Indemnitee is entitled.

Partial Indemnity. If the Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for some or a portion of any Losses in respect of a Claim related to an Indemnifiable EventLoss, but not for all of the total amount thereof, the Company shall nevertheless indemnify the Indemnitee for the portion thereof to which the Indemnitee is entitled.

Partial Indemnity. If the Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for a portion of any Losses in respect of a Claim related to an Indemnifiable Eventsome, but not for the total amount thereof,all, of Indemnitee's Indemnifiable Liabilities, the Company shall nevertheless indemnify the Indemnitee for the portion thereof to which the Indemnitee is entitled.

If the Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for aany portion of Expenses incurred in connection with any Losses in respectClaim, but not, however, for all of a Claim related to an Indemnifiable Event but not for the total amount thereof, the Company shall nevertheless indemnify the Indemnitee for the portion thereofof such Expenses to which the Indemnitee is entitled.

Partial Indemnity.Indemnification; Mandatory Indemnification. If the Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for a portionportion, but not all, of anythe Losses paid in respectsettlement of a Claim related to an Indemnifiable Event but not for the total amount thereof,Claim, the Company shall nevertheless indemnify the Indemnitee for the portion thereof to which the Indemnitee is entitled. Moreover, notwithstanding any other provision of this Agreement, to the extent that Indemnitee has been successful on the merits or otherwise in defense of any or all Claims relating in whole or in part to an Indemnifiable Event or in defense of any issue or matter therein, including without limitation dismissal without prejudice, Indemnitee shall be indemnified against all Expenses incurred in connection therewith.

If the Indemnitee is entitled under any provision of this Agreement or otherwise to indemnification by the Company for some or a portion of the Expenses or Losses incurred by or on behalf of Indemnitee in connection with a Proceeding or any Lossesclaim, issue or matter therein, in respect of a Claim related to an Indemnifiable Event but not for the total amount thereof,whole or in part, the Company shall neverthelessshall, to the fullest extent permitted by law, indemnify Indemnitee to the Indemnitee for the portion thereoffullest extent to which the Indemnitee is entitled.entitled to such indemnification.
