Performance of Executive’s Duties. During Executive’s employment with the Company, and except for periods of illness, vacation, disability, or reasonable leaves of absence or as discussed in Section 1(f) below, Executive shall devote Executive’s full time and attention to the business and affairs of the Company pursuant to the general direction of the Board. The rights of Executive under this Agreement shall not be affected by any change in the title, duties, or capacity of Executive during Executive’s employment with the Company.

During the Employment Period, the Executive shall devote his entire business time, best efforts and ability to the business of the Company, shall faithfully and diligently perform the duties of his employment with the Company, and shall comply with the overall policies established by the Board of the Company.

During the period of the Executive’s employment hereunder, except for periods of absence occasioned by illness, vacation periods, and approved leaves of absence, the Executive shall devote all of the Executive’s business time, attention, skill, and efforts to the faithful performance of the Executive’s duties hereunder, including the operation and management of the Holding Company and the Bank. The duties of the Executive shall be as directed by the Boards of Directors of the Holding Company and the Bank including, but not limited to, the direction of activities of all other officers and employees of the Holding Company and the Bank.
