Parking. Tenant shall have the non-exclusive right to use a number of parking stalls located on the Property equal to Tenant’s Parking Stall Allocation, together with the non-exclusive right to use such additional parking stalls on the Property as may be needed by Tenant for the Permitted Use, up to a maximum of sixty (60) additional parking stalls, to the extent that such additional parking stalls are available. If Tenant uses a number of parking stalls greater than Tenant’s Parking Stall Allocation and Landlord reasonably determines that such excess use creates a parking problem for any other tenant of the Building, then on at least thirty (30) days’ prior written notice, # Tenant shall thereafter only use a number of parking stalls located on the Property equal to Tenant’s Parking Stall Allocation, and # Landlord shall provide to Tenant on a non-exclusive basis such additional parking stalls as may be needed by Tenant for the Permitted Use, up to a maximum of fifty (50) additional parking stalls, in a designated area within the RiverPark Corporate Center that is within a reasonable walking distance from the Building. Automobiles of Tenant and Tenant’s Occupants shall be parked only within parking areas not otherwise reserved by Landlord or specifically designated for use by any other tenant or occupants associated with any other tenant. Landlord may from time to time make such reasonable, nondiscriminatory rules and regulations regarding parking as Landlord reasonably determines to be necessary or appropriate; provided, however, that such rules and regulations shall not materially and adversely affect Tenant’s parking rights under this Lease. Landlord and Landlord’s employees may, without any liability to Tenant or Tenant’s Occupants, cause to be removed any automobile of Tenant or Tenant’s Occupants that may be parked wrongfully in a prohibited or reserved parking area, and Tenant agrees to indemnify, defend and hold harmless Landlord from and against all claims, liabilities and expenses, including attorneys’ fees, arising in connection with such removal. If Landlord provides reserved parking stalls for the exclusive use of any other tenant in the Building, Landlord shall also offer the same number of reserved parking stalls to Tenant on a proportionate basis as any other such tenant. As used in the immediately preceding sentence, “on a proportionate basis” refers to the number of reserved parking stalls proportionate to the total number of parking stalls allocated to such other tenant. For example purposes only, if another tenant received four (4) reserved parking stalls out of a total of one hundred sixteen (116) parking stalls allocated to such other tenant, and Tenant’s Parking Stall Allocation was equal to fifty-eight (58) parking stalls, Tenant would be entitled to two (2) reserved parking stalls and fifty-six (56) unreserved parking stalls.

Parking. Subtenant shall have the right, but no obligation, to lease up to 33 unreserved and 1 reserved stall during the Term at the Building garage operator’s parking rate. If Sublandlord receives any discounts for parking, such discounts shall be passed on to Subtenant. Beginning September 1, 2021, and for such period of time during the Term that the Master Lease is structured as “must take” parking, Subtenant shall commit to lease 1/2 of the parking allotment above (16 stalls) at the Building garage operator’s parking rate (less any discounts received by Sublandlord under the Master Lease).

Parking. Subject to all applicable Legal Requirements, Force Majeure, a Taking (as defined in Section 19 below) and the exercise by Landlord of its rights hereunder, Tenant shall have the right, at no additional cost to Tenant, in common with other tenants of the Project pro rata in accordance with the rentable area of the Premises and the rentable areas of the Project occupied by such other tenants, to park in those areas designated for non-reserved parking, subject in each case to Landlord’s rules and regulations. Landlord agrees to designate 1 reserved parking space for Tenant’s use in a location reasonably designated by Landlord. Landlord shall not be responsible for enforcing Tenant’s parking rights against any third parties, including other tenants of the Project or for enforcing any such reserved parking space. Landlord may allocate parking spaces among Tenant and other tenants in the Project pro rata as described above if Landlord determines that such parking facilities are becoming crowded.

Parking. From and after the Expansion Commencement Date, Tenant shall have the right to use all the parking spaces at the Project free of charge.

Parking. [Section 1(h)] of the Amended Lease is hereby amended to update the total number of parking stalls to 237, by replacing the reference to “233” with a reference to “237”.

Parking. Effective as of the Suite C-2 Commencement Date and continuing through the Suite C-2 Term, in addition to the parking spaces available to Tenant for the Existing Premises in accordance with the Existing Lease, Landlord shall also provide Tenant with the use of seventeen (17) unreserved off-street parking spaces in the surface lot serving the Building at no additional cost to Tenant.

Parking. Effective as of the date of this Fourteenth Amendment, the rate at which Tenant shall pay for parking in the covered unreserved garage pursuant to the Lease shall be ​ per month, per parking space, for up to one hundred fifty (150) parking spaces. Any additional parking as may be requested by Tenant on a month-to-month basis shall be at then-current market rates.

Parking. Tenant shall have the right to rent the number of parking passes allocated in Section 1.15 of this Lease on a monthly basis and unassigned and non-exclusive basis for use by Tenant and its employees for parking in the Parking Facility located at 215 Fremont Street, San Francisco. The Parking Facility is operated by a third-party operator (the "Operator;'). The parking space may only be used by the individual and automobile listed on the parking application form. In the event Tenant desires to rent additional parking spaces in the Parking Facility, Tenant may contact the Operator with respect to leasing such additional parking spaces so long as such additional spaces does not reduce the allocation of the total available parking spaces or passes available to Landlord. Subject to availability, as determined by Operator in its sole discretion, any additional parking spaces shall be subject to the terms and conditions of this Section 3.5 and all subsections thereof (i.e., on an unreserved, nonexclusive, first come, first served basis at a monthly parking charges for any such passes at the parking rate set forth below). In the event that, due to unavailability of spaces, Operator is unable to provide Tenant with additional parking spaces pursuant to this Section 3.5 such inability shall not subject Landlord to any liability for any loss or damage resulting therefrom or entitle Tenant to any credit, abatement or adjustment of rent or other sums payable under this Lease. If access to the Parking Facilities is controlled by an electronic system, then Tenant shall pay (at Landlord’s option, to Landlord or to the owner or Operator of the Parking Facility) all amounts charged by the owner or Operator of the Parking Facility for the issuance of initial access devices and/or any replacement access devices.

Parking. Subject to all applicable Legal Requirements, Force Majeure or a Taking (as defined in Section 19 below), Tenant shall have the right, at no additional cost during the Term, to use all of the parking at the Project, which is equal to approximately 493 parking spaces, as reflected on Exhibit G attached hereto. Tenant shall have the right, at Tenant’s discretion and at Tenant’s cost, to designate parking spaces as reserved or non-reserved. Landlord shall not be responsible for enforcing Tenant’s parking rights against any third parties.

Parking. Notwithstanding any contrary provision in [Exhibit F] to the Lease, “Parking,” the parking charge for the Parking Passes shall continue to be $50.00 per Parking Pass per month through ending December 31, 2022. From and after January 1, 2023, the parking charge shall be at Landlord’s scheduled parking rates from time to time.
