Packaging/Marking. All products shall be properly packaged to prevent damage or deterioration and to obtain the lowest transportation rates, when paid by Raven. Raven will pay no charge for packing, drayage or storage or for preparation, crating, dunnage or other materials except as otherwise provided herein. Each packing slip, bill of lading, invoice, container, tag, and correspondence shall bear the applicable Purchase Order number and the location of the plant to which products and parts are to be shipped. A master packing slip shall accompany each shipment and shall be included in one of the packages marked “Packing Slip Inside.” All products and parts shall be properly identified as to country of origin and all documentation in connection with the products and parts shall comply with all applicable governmental regulations, and AgEagle shall indemnify Raven and hold Raven harmless from any and all costs arising out of the failure of the products to be properly marked or the failure of such documentation to comply with all applicable governmental regulations, including but not limited to:

Packaging and Labeling. IMMEDICA shall be solely responsible for packaging and labeling the Unlabeled Product for sale and distribution in the Territory.

Client will be responsible for the cost of artwork development and approval of all artwork. Client will be responsible for changes to labels, product inserts, and other packaging for the Product, including obtaining all required approvals. Patheon will cooperate in all reasonable respects with the foregoing as and when requested by Client. Client will be responsible for the cost of labelling obsolescence as contemplated in Section 5.2. Patheon's name will not appear on the label or anywhere else on the Product unless: # required by any Laws; or # Patheon consents in writing to the use of its name. At least ​ prior to the Release Date of Product for which new or modified artwork is required, Client will provide at no cost to Patheon and in accordance with the applicable specifications, final camera ready artwork for all packaging Components to be used in the manufacture of the Product. Client will be responsible for the costs associated with complying with any and all regulatory requirements for the labeling and tracking of the manufactured Product, including product serialisation, product data transfer and anti-counterfeiting requirements in the Territory.

Artwork and Packaging. Customer shall provide or approve, prior to the procurement of applicable components, all artwork and packaging information necessary to Package the Final Product. Customer shall provide artwork for all printed materials (e.g., blister design, cartons, labels and leaflets) at least ​ prior to the placement of the respective Purchase Order. In case of changes in the artworks, text of the package inserts or labeling, Customer shall compensate Supplier ​. Supplier shall be notified of all changes specific to artworks, package inserts or labeling sufficiently in advance of implementation to allow time for process documentation changes and stock control. Any artwork, advertising and packaging information is and shall remain the exclusive property of Customer, and Customer shall be solely responsible for the content thereof and hold Supplier harmless against any third party claims arising from the use of such artwork etc. in the provision of services hereunder. Such artwork and packaging information or any reproduction thereof may not be used by Supplier following the termination of this Agreement, or during the Term of this Agreement in any manner other than solely for the purpose of performing its obligations hereunder.

Packaging Process License. Customer hereby grants Supplier a non-exclusive, non-transferable, royalty-free license or sub-license for the Term of this Agreement to use any Intellectual Property in the Packaging Process and Customer Supplied Materials owned by or licensed to Customer solely for the purpose of performing the Packaging Services.

Client may, in its sole discretion, make changes to labels, product inserts, and other packaging for the Products. Those changes will be submitted by Client to all applicable Regulatory Authorities and other third parties responsible for the approval of the Products. Client will be responsible for the cost of labelling obsolescence when changes occur, as contemplated in [Section 4.4]. Patheon's name will not appear on the label or anywhere else on the Products unless: # required by any Laws; or # Patheon consents in writing to the use of its name. At least ​ prior to the Delivery Date of Product for which new or modified artwork is required, Client will provide at no cost to Patheon, final camera ready artwork for all packaging Components to be used in the manufacture of the Product that meet the Specifications. For the avoidance of doubt, the parties acknowledge and agree that Client will be responsible for complying with any and all regulatory requirements for the labeling of the Product.

Packaging and Labeling. [[Durect:Organization]] shall package and load Product in accordance with Gilead’s packaging and labeling requirements ​, the Quality Agreement ​ and ​and in compliance with all Applicable Laws.

The Client will also be responsible for the cost of proofing and of production of the printing plates required by Patheon to assemble, package and supply the Products and for the approval of final proofs generated by the printer. All such artwork, trademarks, livery and text shall be the property of Client and Patheon shall obtain no rights therein. Patheon will determine and imprint the batch numbers and expiration dates for each Product shipped. The batch numbers and expiration dates will be affixed on the Products and on the shipping carton of each Product as outlined in the Specifications and as required by cGMPs.
