Outplacement Assistance. Eligible Executives will be eligible for payment or reimbursement by the Company of reasonable expenses incurred for outplacement services performed by an independent executive outplacement consulting firm selected by the Company, for up to the period set forth in the following chart, and the cost of outplacement services shall be paid or reimbursed no later than the end of the second year following the year in which the Eligible Executive incurred a termination or resignation of employment with the Company or any of its Subsidiaries. The maximum outplacement assistance payment or reimbursement shall be $40,000 for the Chief Executive Officer, and $25,000 for other members of the Executive Team.

Outplacement Assistance. To assist you in obtaining replacement employment, the Company will reimburse you for the cost, up to a maximum reimbursement amount, of outplacement services during the first twelve months following your termination. The Plan Administrator will establish, and notify you personally, of the maximum reimbursement amount that applies to your position.

#[[Organization A:Organization]] will provide Spethmann with outplacement assistance through a mutually agreed upon provider. The maximum amount [[Organization A:Organization]] will pay for such outplacement assistance is fifteen thousand dollars ($15,000.00), and any and all payments for such outplacement services will be made by [[Organization A:Organization]] directly to the provider, following [[Organization A:Organization]]’s receipt of appropriate documentation. Spethmann will have a period of one (1) year from the Effective Date to utilize this outplacement assistance.

The maximum amount ​ will pay for such outplacement assistance is fifteen thousand dollars ($15,000.00), and any and all payments for such outplacement services will be made by ​ directly to the provider, following ​’s receipt of appropriate documentation. Shaw will have a period of one (1) year from the date this Agreement is signed by him to utilize this outplacement assistance.

Outplacement. In satisfaction of the provisions of [Section 4.02(c)] of the Severance Plan, the Company shall arrange for Executive to receive outplacement services or executive recruiting services provided by a professional outplacement provider or executive recruiter at a cost to the Company not to exceed $25,000, to be provided not later than December 31, 2018.

Each individual who is eligible as provided in Article III above, shall receive, the Severance Pay, COBRA, outplacement assistance services and Employee Assistance Program services set forth below.

Outplacement Services. Adtalem shall, at its sole expense, provide the Executive with a nine (9) month senior executive level outplacement program the provider of which shall be selected by Adtalem in Adtalem’s sole discretion with such expenses being payable to the outplacement service as soon as administratively practicable but in no event later that the last day of the calendar year immediately following the calendar year in which such expense was incurred by the Executive.

Outplacement Counseling. The Company shall provide the Employee with reasonable executive outplacement services, in accordance with Company policies for senior executives as in effect on the Termination Date.
