Other Termination; Changes of Service. If the ​’s termination of Service occurs at any time prior to the end of the Performance Period for any reason not meeting the conditions specified in [Sections 4 or 5]5], all of the PSUs subject to the Award shall terminate effective as of the date of termination of Service and the ​ shall have no rights hereunder. Service shall not be deemed terminated in the case of # any approved leave of absence, or # transfers among the Company and any Subsidiaries in the same Service Provider capacity; however, a termination of Service shall occur if # the relationship the ​ had with the Company or a Subsidiary at the Grant Date terminates, even if the ​ continues in another Service Provider capacity with the Company or a Subsidiary, or # the ​ experiences a “separation from service” within the meaning of Code Section 409A.

Service Changes. After the execution of this Services Agreement and prior to the date that is two months from the date hereof, either Party may request that the other Party modify, alter or adjust the manner in which the other Party provides services (a “Service Change”). Following the delivery of such request, the Parties shall negotiate in good faith the terms and conditions of such Service Change; provided, however, that no Party or Provider shall be required to agree to a Service Change pursuant to this [Section 2.4] if # it does not, in its reasonable judgment, have adequate resources for such Service Change, # the Service Change would significantly disrupt the operation of its business or # the Parties are unable to reach agreement on the terms and conditions applicable to such Service Change.

Changes of Service. Service Termination. Except as set forth in [Section 2(c)] below and on [Schedule 1], upon the cessation of the Participant’s services with the Company for any reason, all unvested PSUs shall be automatically forfeited as of such cessation of services. For purposes of this PSU award, services with the Company shall include services as an employee or director of, or consultant or advisor to, the Company or to a parent or subsidiary of the Company, or any successor to the Company.

No Other Changes. Except as specifically set forth in this Amendment, the terms of the Debenture remain in full force and effect.

No Other Changes. Except as modified hereby, all of the terms and provisions of the Loan Documents shall remain in full force and effect.

NO OTHER CHANGES. Except as set forth herein, the Employment Agreement remains in full force and effect.

Other Consequential Changes. Without prejudice to the respective liabilities of the Borrowers to the Lenders and the Multicurrency Swing Loan Banks and the Lenders and the Multicurrency Swing Loan Banks to the Borrowers under or pursuant to this Agreement, except as expressly provided in this Section, each provision of this Agreement shall be subject to such reasonable changes of construction as the ​ may from time to time reasonably specify to be necessary or appropriate to reflect the introduction of or changeover to Euros in Participating Member States.

No Other Changes. Except as explicitly amended by this Amendment, all of the terms and conditions of the Credit Agreement remain in full force and effect and apply to any advance or Letter of Credit thereunder.
