Resignations. The directors and executive officers of BRPA listed on [Schedule 6.2(g)] of the BRPA Schedules shall have been removed from their respective positions or tendered their irrevocable resignations, in each case effective as of the Effective Time.

Resignations. I hereby agree to tender my resignation in a timely manner as requested by the Company for any and all officer and director positions that I hold with a ​ group company.

Effective as of the date of any termination of your employment with the Company for any reason, you hereby agree that you will be deemed to have automatically resigned from all offices and directorships you hold at BHI, Booking.com and any of their affiliates at the date of such termination, including, without limitation, the position of CHRO and CPO.

Resignations. You will continue to serve as an Executive Vice President of RMR and President and Chief Executive Officer of Diversified Healthcare Trust (“DHC”) until December 31, 2023, as of which date you will resign from such offices and from any other officer or related positions you hold within RMR, DHC and any other RMR managed company. You will resign as a Managing Trustee of DHC and any other board positions on the earliest of: # the 2024 annual meeting of shareholders; # July 1, 2024; or # as requested by RMR or the applicable board of trustees. You will continue to serve as an employee of RMR until the Retirement Date in order to transition your duties and responsibilities to your successor(s). After December 31, 2023, you will work remotely from the address shown above, or other locations from time to time.

Resignations. As of the Closing, the Sangre Members shall resign from all positions with Sangre as member, manager, employee, officer or other authorized representative or agent of Sangre.

Resignations. The Bank shall have received letters of resignation from the directors and officers of ​ reasonably satisfactory in form and substance to the Bank.

Resignations. The current officers and directors of the Company shall, if applicable, submit written resignations from their respective positions with the Company and the Company shall provide copies of such resignations to YourSpace.

Other Employment. Place shall devote all of his time, attention, knowledge, and skills solely to the business and interests of Company, and Company shall be entitled to all of the benefits or other issues arising from or incident to all work, services and advice of Place. Place shall not, during the term of this Employment Agreement be interested directly or indirectly, in any manner, as a partner, officer, director, shareholder, advisor, or in any other capacity in any other business similar to the Company's business or any allied trade.

Other Separation from Service. Unless the Compensation Committee of the Board of Directors of the Company (“Committee”), in its sole discretion and insofar as permitted by the Plan, determines otherwise, in the event of the Participant’s Separation from Service during the Period of Restriction for any reason other than those set forth in Paragraph 7(a) above, then any Restricted Stock Units still subject to the Period of Restriction at the date of such Separation from Service automatically shall be forfeited by the Participant, and all of the Participant’s rights to such unvested Restricted Stock Units shall immediately terminate without any payment or consideration by the Company.

Other Separation from Service. Upon Separation from Service by Employee other than for Good Reason or due to Employee’s death or Disability, or by the Company for Cause, Employee shall not be entitled to any additional compensation under this Agreement beyond that earned and accrued as of the Separation Date.
