Amendments and Other Filings. The Company shall # use its commercially reasonable efforts to keep a Registration Statement effective at all times during the Registration Period, and in furtherance thereof shall prepare and file with the SEC such amendments (including post-effective amendments) and supplements to a Registration Statement and the related prospectus used in connection with such Registration Statement, which prospectus is to be filed pursuant to Rule 424 promulgated under the Securities Act, and prepare and file with the SEC such additional Registration Statements in order to register for resale under the Securities Act all of the Registrable Securities; # cause the related prospectus to be amended or supplemented by any required prospectus supplement (subject to the terms of this Agreement), and as so supplemented or amended to be filed pursuant to Rule 424; and # provide the Investor copies of all correspondence from and to the SEC relating to a Registration Statement (provided that the Company may excise any information contained therein which would constitute material non-public information). In the case of amendments and supplements to a Registration Statement which are required to be filed pursuant to this Agreement (including pursuant to this [Section 6.01(e)]) by reason of the Company’s filing a report on Form 10-K, Form 10-Q, Form 8-K or any analogous report under the Exchange Act, the Company shall incorporate such report by reference into the Registration Statement, if applicable, or shall file such amendments or supplements with the SEC either on the day on which the Exchange Act report is filed which created the requirement for the Company to amend or supplement the Registration Statement, if feasible, or otherwise promptly thereafter.

Other Reports. Promptly upon their becoming available to the Borrower:

Other Reports. Furnish Agent as soon as available, but in any event within ten (10) days after the issuance thereof, with copies of such financial statements, reports and returns as each Borrower shall send to its stockholders.

Furnish Agent as soon as available, but in any event within ten (10) days after the issuance thereof, # with copies of such financial statements, reports and returns as Borrowing Agent shall send to its stockholders and # copies of all notices, reports, financial statements and other materials sent pursuant to the Convertible Notes.

Other Reports. A copy of any ACM, soils, seismic, flood and zoning reports relating to the Property and prepared for the benefit of Seller; and

Other Reports. Subject to Section 3.1(b), the Lenders shall have received, in form and substance reasonably satisfactory to it, all environmental reports, and such other reports, audits or certifications as it may reasonably request, which reports the Lenders acknowledge they has received as of the date of this Agreement.

Other Reports. Promptly after the same are available, provide Administrative Agent and the Lenders copies of each annual report, proxy or financial statement or other report or communication sent to the stockholders of the Company, and copies of all annual, regular, periodic and special reports and registration statements which the Company may file or be required to file with the Commission under Section 13 or 15(d) of the Exchange Act, or with any national securities exchange, and in any case not otherwise required to be delivered to the Administrative Agent pursuant hereto.

Borrower shall, within ten (10) Business Days after request by Lender, furnish or cause to be furnished to Lender, in such manner and in such detail as may be reasonably requested by Lender, such reasonable additional information as may be reasonably requested with respect to the Property.

Other Reports. Deliver or cause to be delivered to the Administrative Agent and the Lenders copies of # all financial statements, reports and material written notices, if any, sent by the Company to its securities holders or filed with the Commission by the Company, and # all notifications received from the Commission by the Company or its Subsidiaries pursuant to the Securities Exchange Act of 1934 and the rules promulgated thereunder. The Company shall include the Administrative Agent and the Lenders on its standard distribution lists for all press releases made available generally by the Company to the public concerning material developments in the business of the Company or any such Subsidiary.
