Other Compensation or Benefits. You acknowledge that, except as expressly provided in this Agreement, you have not earned and will not receive from the Company any additional compensation (including base salary, bonus, incentive compensation, or equity), severance, or benefits on or after the Separation Date, with the exception of any vested right you may have under the express terms of a written ERISA-qualified benefit plan (e.g., 401(k) account) or any vested options.

You further expressly acknowledge and agree that you are not entitled to any severance benefits from the Company under the terms of your Amended and Restated Executive Employment Agreement with the Company.

You acknowledge that, except as expressly provided in this Agreement, you will not receive any additional compensation, severance or benefits after the Separation Date, with the exception of any vested rights you may have under the express terms of a written ERISA-qualified benefit plan (e.g., 401(k) account). You further acknowledge and agree that upon receipt of the benefits provided herein, you will have received all severance benefits to which you are entitled, whether under the Executive Severance Benefits Agreement or otherwise. Following the Separation Date, the Company will, in all respects, continue to comply with and be bound by the Indemnification Agreement between the parties, dated as of September 16, 2013 (the “Indemnification Agreement”), attached hereto as Exhibit B.

You affirm that you have been paid in full for all hours worked as of the date of your execution of this Agreement and have been paid or have received all leave (paid or unpaid), compensation, wages, bonuses, commissions, and/or benefits to which you may be entitled. You therefore agree that you have no entitlement to any compensation, bonus, severance pay, vacation pay or other benefits, damages, attorneys’ fees or costs from the Company, except as specifically provided in this Agreement, and that you will not bring any action contrary to this understanding.
