“Mortgage Loan Activities” shall mean the processing, origination, administration, servicing and selling of Mortgage Loans by [[Organization B:Organization]] and any other business activities related thereto or contemplated by this Agreement (including any activities related to Mortgage Loan Transactions).

“Property Development Activities” means land acquisition and development activities, the principal objective of which is to acquire and develop real property for sale or other disposition.

“Development Plan” means a development plan (other than the Initial Development Plan and Budget) setting forth in reasonable detail specific Clinical Studies and other Development activities (other than the Initial Development Activities) to be performed with respect to the Licensed Compound or a Licensed Product, which plan shall set forth Clinical Studies and Development activities subsequent to those of the Initial Development Plan and Budget.

Section # Permitted Activities. Holdings shall not engage in any material operating or business activities; provided that the following and activities incidental thereto shall be permitted in any event: # its ownership of the Equity Interests of Borrower and activities incidental thereto, # the maintenance of its legal existence (including the ability to incur fees, costs and expenses relating to such maintenance), # the performance of its obligations with respect to the Loan Documents, the Senior Notes Documents and any other Indebtedness, # any public offering of its common stock or any other issuance or sale of its Equity Interests, # financing activities, including the issuance of securities, payment of dividends, making contributions to the capital of the Borrower, # incurrence of debt and guaranteeing the obligations of the Borrower (other than as described under clause ‎(iii) above), # participating in tax, accounting and other administrative matters as owner of the Borrower, # holding any cash incidental to any activities permitted under this ‎[Section 7.14], # providing indemnification to officers, managers and directors and # any activities incidental to the foregoing.

“Captive Insurance Company” means a Wholly Owned Subsidiary of Holdings created solely for providing self-insurance for Holdings and its Subsidiaries and engaging in no other activities other than activities ancillary thereto and necessary for the maintenance of corporate existence.

Pursuant to [section 6.1(a)] Other Activities, [Exhibit A]

engage in any business activity other than Midstream Activities;

SECTION # Lines of Business. Engage to any material extent in any business activities other than in the respective primary lines of business of ​ and ​ (which shall include any evolution or extension of business activities and any business activities reasonably related to such primary lines of business conducted on the Effective Date).

engage in, whether as an employee, consultant, or in any other capacity, any business activity (other than business activities engaged in for or on behalf of ​) # that is the same as, or is in direct competition with, any portion of the Business, and # in which Executive engaged in during the course of his employment with ​ (any such activities described in this Section 10(a)(i), “Competing Activities”);

This subparagraph # shall not prohibit you from # being employed by, or providing services to, a consulting firm, provided that you do not personally engage in Competitive Activities or provide consulting or advisory services to any person, partnership, firm, corporation, institution or other entity engaged in Competitive Activities, or to any person or entity affiliated with such person, partnership, firm, corporation, institution or other entity engaged in Competitive Activities, or # engaging in the practice of law as an in-house counsel, sole practitioner or as a partner in (or as an employee of or counsel to) a corporation or law firm in accordance with applicable legal and professional standards. Exception (ii), however, does not apply to you engaging in Competitive Activities or providing services to any person, partnership, firm, corporation, institution or other entity engaged in Competitive Activities, wherein neither such engagement nor such service provided is primarily the practice of law.
