OTC Markets Designation. OTC Markets changes the Borrower’s designation to ‘No Information’ (Stop Sign), ‘Caveat Emptor’ (Skull and Crossbones), or ‘OTC’, ‘Other OTC’ or ‘Grey Market’ (Exclamation Mark Sign).

The Conversion Shares shall have been authorized for quotation on the OTC MARKETS or OTC Markets and trading in the Common Stock on the OTC MARKETS or such equivalent exchange and shall not have been suspended by the SEC or the OTC MARKETS or such equivalent exchange.

OTC Quotation. The ​ shall have maintained its status as a Company whose common stock is quoted on the OTCQB tier of the OTC Markets, and ​ shall not have received any notice that any reason shall exist as to why such status shall not continue immediately following the Closing.

“Primary Market” means the OTC Markets’ OTCQBÒ Market.

Quotation and Maintenance Requirements. Company’s common stock is currently quoted on the OTCQB tier maintained by OTC Markets Group, Inc. (“OTC”) under the symbol “NUMD”.

Commence the process with the Financial Industry Regulatory Authority and OTC Markets LLC to change the ticker symbol of Parent in conformity with such agreed upon name change;

“Principal Market” means the principal securities exchange or trading market where such Common Stock is listed or quoted, including but not limited to any tier of the OTC Markets, any tier of the NASDAQ Stock Market (including NASDAQ Capital Market), or the NYSE American, or any successor to such markets.

Video River Networks will also pay the fees required to reinstate DRNG and bring it current with OTC Markets. Moreover, within 30 days after DRNG has become Pink Current on the OTC Market, Video River Networks shall provide a working capital of ​ to Drone Guarder, Inc. to finish and bring-to-market its Drones and Artificial Intelligent products.

Delisting of Common Stock. The Borrower shall fail to maintain the listing of the Common Stock on at least one of the OTC (which specifically includes the quotation platforms maintained by the OTC Markets Group) or an equivalent replacement exchange, the Nasdaq National Market, the Nasdaq SmallCap Market, the New York Stock Exchange, or the American Stock Exchange.

the delisting of the Common Stock from the Principal Market, and the Common Stock is not immediately thereafter trading on the New York Stock Exchange, the NYSE MKT, the NASDAQ Global Select Market, the NASDAQ Global Market, the NASDAQ Capital Market, the OTC Bulletin Board or the OTCQB marketplace or OTCQX marketplace of the OTC Markets Group;
