“Organizational Documents” shall mean, with respect to any Person, (a) the articles or certificate of formation, incorporation or organization (or the equivalent organizational documents) of such Person and (b) the bylaws or limited liability company agreement (or the equivalent governing documents) of such Person.

“Organizational Documents” shall mean,means, with respect to any Person, (a) thePerson (other than an individual), such Person’s articles or certificate(or certificate) of formation, incorporation or organization (or the equivalent organizational documents) of such Personformation documents, and (b) the bylawsbylaws, operating agreement, partnership agreement or limited liability company agreement (or the equivalent governing documents)documents, and any amendments to any of such Person.the foregoing.

“Organizational Documents” shall mean,means, with respect to any Person, (a)Person (other than an individual), such Person’s articles (certificate) of incorporation, or equivalent formation documents, and bylaws (regulations), or equivalent governing documents, and, in the articles or certificatecase of formation, incorporation or organization (orany partnership, includes any partnership agreement, and, in the equivalent organizational documents)case of such Person and (b) the bylaws orany limited liability company agreement (orcompany, includes any operating agreement, and, in each case, and any amendments to any of the equivalent governing documents) of such Person.foregoing.

“Organizational Documents” shall mean,means, with respect to any Person, (a)a particular Person (other than a natural person), the certificate/articles of formation/incorporation/organization, bylaws, partnership agreement, limited liability company agreement, stockholders agreement, trust agreement or certificate of formation, incorporationother similar organizational document or organization (or the equivalent organizational documents)agreement, as applicable, of such Person and (b)(as any of the bylawssame may be amended, restated, supplemented or limited liability company agreement (or the equivalent governing documents) of such Person.otherwise modified).

“Organizational Documents” shall mean, with respect to any Person, (a) theany charter, articles or certificate of incorporation, certificate of organization, registration or formation, incorporationcertificate of partnership or organization (or the equivalent organizational documents)limited partnership, bylaws, operating agreement, limited liability company agreement, or partnership agreement of such Person and (b) the bylawsany and all other applicable documents relating to such Person’s formation, organization or limited liability companyentity governance matters (including any shareholders’ or equity holders’ agreement (or the equivalent governing documents)or voting trust agreement) and specifically includes, without limitation, any certificates of such Person.designation for preferred stock or other forms of preferred equity.

“Organizational Documents” shall mean,means: # with respect to any Person, (a) thePerson that is a corporation, its articles or certificate of formation, incorporation or organization (ormemorandum and articles of association, as the equivalent organizational documents)case may be, and bylaws, # with respect to any Person that is a partnership, its certificate of suchpartnership and partnership agreement, # with respect to any Person that is a limited liability company, its certificate of formation and (b) the bylaws or limited liability company or operating agreement, # with respect to any Person that is a trust or other entity, its declaration or agreement (or the equivalent governing documents) of such Person.trust or constituent document and # with respect to any other Person, its comparable organizational documents, in each case, as has been amended or restated.

“Organizational Documents” shall mean,means, with respect to any Person, (a)entity, the certificate of incorporation, articles orof incorporation, bylaws, articles of organization, certificate of formation, incorporation or organization (or the equivalent organizational documents) of such Person and (b) the bylaws orpartnership agreement, limited liability company agreement, shareholders agreement, formation agreement (or the equivalent governing documents)and other similar organizational documents of such Person.entity, as applicable.

“Organizational Documents” shall mean, with respect to any Person, (a) the articlesmeans, as applicable, an entity’s agreement or certificate of formation, incorporation or organization (or the equivalent organizational documents) of such Person and (b) the bylaws orlimited partnership, limited liability company agreement (or the equivalent governing documents)agreement, certificate of such Person.formation, certificate or articles of incorporation, bylaws or other similar organizational documents.

“Organizational Documents” shall mean,means, collectively, with respect to any Person, (a)a corporation, the articlesArticles of Incorporation, Certificate of Incorporation or certificate of formation, incorporation or organization (orother similar such document and the equivalent organizational documents) ofBy-Laws each as amended from time to time, for such Personcorporation, and (b) the bylaws orwith respect to a limited liability companycompany, the Articles of Organization, Certificate of Organization, Certificate of Formation or other similar such document, and the Limited Liability Company Operating Agreement or other similar such agreement (oramong the equivalent governing documents) ofmembers, each as amended from time to time, for such Person.limited liability company.
