Organizational Documents. No Loan Party shall modify or terminate any of its organizational or operational documents in any manner that would adversely affect the interests of the Lenders in any material respect.

Organizational Documents The Administrative Agent shall have received: # a good standing certificate, dated no more than thirty (30) days prior to the Closing Date, for Borrower for its state of incorporation; # a copy of the articles of incorporation of Borrower (and any amendments thereto) certified by the Secretary of State of its state of organization; and # a copy of the bylaws of Borrower, certified as true and complete by the Secretary or Assistant Secretary of Borrower.

Lender shall have received # customary certificates of resolutions or other action, incumbency certificates of Responsible Officers of Borrower evidencing the identity, authority and capacity of each Responsible Officer thereof authorized to act as a Responsible Officer in connection with this Agreement and the other Loan Documents and # certificates (including Organizational Documents and good standing certificates) relating to the organization, existence and good standing of Borrower in its jurisdiction of organization, in each case, as certified by the Secretary or an Assistant Secretary of Borrower.

All documents evidencing the formation, organization, valid existence, good standing, and due authorization of and for Borrower and the authorization for the execution, delivery, and performance of the Loan Documents by Borrower, which organizational documents shall be consistent with Section 5.1.1 hereof.
