judgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in aggregate amount shall be rendered against the Borrower or any Subsidiary of the Borrower and either # enforcement proceedings shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayed for a period of 30 days;

judgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in aggregate amount shall be rendered against the Borrower or any Subsidiary of the Borrower and either # enforcement proceedings shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayed for a period of 30 days;

judgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in aggregate amount shall be rendered against thesuch Borrower or any Subsidiary of thesuch Borrower and either # enforcement proceedings shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayed for a period of 30 days;

judgments or orders (other than judgments or orders in respect of Non-recourse Debt)any judgment, order for the payment of money exceeding $150,money, writ, warrant of attachment or similar process involving an amount in excess of $10,000,000 in the aggregate amount shall be rendered against the Borrower or any Subsidiary of the Borrowerits Subsidiaries, and either # enforcement proceedings shall have been commenced by any creditor upon such judgmentsjudgment or ordersorder or # such judgments or ordersthere shall continue unsatisfied and unstayed forbe a period of 30 days;45 consecutive days during which a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; or

one or more judgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in an aggregate amount in excess of $1,000,000 shall be rendered against the Borrowerany Loan Party or any Subsidiary of the Borrowera Loan Party and either # enforcement proceedings shall have been commenced by any creditor upon such judgmentsjudgment or orders or # such judgments or ordersorder shall continue unsatisfied and unstayed for a period of 30 days; or

judgmentsone or orders (other thanmore judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in an aggregate amount in excess of $250,000,000 shall be rendered by a court of competent jurisdiction against the Borrower, any Subsidiary or any combination thereof, and the same shall remain undischarged for a period of 45 consecutive days during which execution shall not be effectively stayed, or any action shall be legally taken by a judgment creditor to attach or levy upon any assets of the Borrower or any Subsidiary of the Borrower and either # enforcement proceedings shall have been commenced byto enforce any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayed for a period of 30 days;judgment;

judgmentsone or orders (other thanmore judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in an aggregate amount in excess of $25,000,000 shall be rendered against the Borrower or any Subsidiary of its Subsidiaries or any combination thereof and # the Borrower and either # enforcement proceedingssame shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayedremain undischarged for a period of 30 days;consecutive days during which execution shall not be effectively stayed, discharged or bonded pending appeal, and liability for such judgment amount shall not have been admitted by an insurer of reputable standing reasonably acceptable to the Required [[Consenting Lenders:Organization]] or # any action shall be legally taken by a judgment creditor to attach or levy upon any assets of the Borrower or any of its Subsidiaries to enforce any such judgment;

judgmentsA final judgment or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceedingin excess of $150,000,000 in the aggregate amount shall be rendered by a court or courts against the Borrower or any Subsidiaryof its Subsidiaries and the same shall not be discharged (or provision shall not be made for such discharge), or a stay of execution thereof shall not be procured, within thirty (30) days from the date of entry thereof and Borrower, such Subsidiary, or such Obligated Party shall not, within such period of thirty (30) days, or such longer period during which execution of the Borrower and either # enforcement proceedingssame shall have been commenced by any creditor uponstayed, appeal therefrom and cause the execution thereof to be stayed during such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayed for a period of 30 days;appeal;

judgmentsone or orders (other thanmore judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in an aggregate amount in excess of $3,000,000 shall be rendered against the Borrower, any Subsidiary or any combination thereof and the same shall remain undischarged for a period of thirty (30) consecutive days during which execution shall not be effectively stayed, or any action shall be legally taken by a judgment creditor to attach or levy upon any assets of the Borrower or any Subsidiary ofto enforce any such judgment or the Borrower and either # enforcement proceedingsor any Subsidiary shall have been commenced by any creditor upon suchfail within thirty (30) days to discharge one or more non-monetary judgments or orders which, individually or # suchin the aggregate, could reasonably be expected to have a Material Adverse Effect, which judgments or orders shall continue unsatisfiedorders, in any such case, are not stayed on appeal and unstayed for a period of 30 days;being appropriately contested in good faith by proper proceedings diligently pursued;

judgmentsAny judgment or orders (other than judgments or orders in respect of Non-recourse Debt)order for the payment of money exceedingin excess of $150,000,000 in aggregate amount shall be rendered against the BorrowerCompany or any Subsidiary of the Borrowerits Material Subsidiaries and either # enforcement proceedings shall have been commenced by any creditor upon such judgmentsjudgment or ordersorder or # any such judgmentsjudgment or ordersorder shall continue unsatisfied and unstayed for a period ofnot be stayed, discharged, paid, bonded or vacated within 30 days; or

One or orders (other than judgmentsmore judgments, orders, or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in aggregate amountdecrees shall be renderedentered against theany one or more of any Borrower or any Subsidiary of its Subsidiaries involving a liability of $25,000,000 or more, in the Borroweraggregate (to the extent not paid or covered by insurance provided by a carrier who has acknowledged coverage), and eithersuch judgments, orders or decrees # are the subject of any enforcement proceedings shall have beenproceeding commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfiedunsatisfied, undischarged and unstayed for a period ending on the first to occur of 30 days;# the last day on which such judgment, order or decree becomes final and unappealable or # 20 days.

one or more judgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in an aggregate amount in excess of $500,000.00 (after taking into account the application of insurance proceeds) shall be rendered against the Borrowerany Loan Party or any Subsidiary of the Borrowera Loan Party and either # enforcement proceedings shall have been commenced by any creditor upon such judgmentsjudgment or orders or # such judgments or ordersorder shall continue unsatisfied and unstayed for a period of 30 days; or

judgmentsany final judgment or orders (other than judgments or orders in respect of Non-recourse Debt)order by a Government Authority (which cannot be contested by appropriate proceedings) for the payment of money exceeding $150,less any insurance proceeds covering such settlements or judgments which are received or as to which the insurance carriers admit liability, in excess of $2,000,000 in the aggregate amount(but not including in such aggregate, amounts paid, or appealed as contemplated by this subsection) shall be rendered against the Borrower or any Subsidiary of the Borrowerits Subsidiaries, and either # enforcement proceedings shall have been commenced by any creditor upon such judgmentsjudgment or ordersorder as a result of nonpayment of such judgment or order in a timely manner or # such judgments or ordersthere shall continue unsatisfied and unstayed forbe a period of 30 days;consecutive days during which a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; or

judgmentsJudgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,in excess of $100,000,000 in the aggregate amount shall be rendered against the Borrower or any Subsidiary of the Borrowerits Wholly-Owned Subsidiaries and either # enforcement proceedings to attach or levy upon any assets of the Borrower or its Wholly-Owned Subsidiaries shall have been commenced by any creditor uponto enforce such judgmentsjudgment or ordersorder or # such judgmentsjudgment or ordersorder shall continue unsatisfiednot be discharged and unstayed for athere shall be any period of 30 days;45 consecutive days during which a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; provided, however, that any such judgment or order shall not be subject to this [Section 6.01(f)] to the extent and for so long as # the amount of such judgment or order is covered by a valid and binding policy of insurance between the defendant and the insurer covering payment thereof and # such insurer, which shall be rated at least “A-” by A.M. Best Company, has been notified of, and has not denied in writing the claim made for payment of, the amount of such judgment or order; or

one or more judgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in an aggregate amount in excess of $500,000.00 (after taking into account the application of insurance proceeds) shall be rendered against the Borrowerany Loan Party or any Subsidiary of the Borrowera Loan Party and either # enforcement proceedings shall have been commenced by any creditor upon such judgmentsjudgment or orders or # such judgments or ordersorder shall continue unsatisfied and unstayed for a period of 30 days; or

judgmentsJudgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,in excess of $100,000,000 in the aggregate amount shall be rendered against the Borrower or any Subsidiary of the Borrowerits Wholly-Owned Subsidiaries and either # enforcement proceedings to attach or levy upon any assets of the Borrower or its Wholly-Owned Subsidiaries shall have been commenced by any creditor uponto enforce such judgmentsjudgment or ordersorder or # such judgmentsjudgment or ordersorder shall continue unsatisfiednot be discharged and unstayed for athere shall be any period of 30 days;45 consecutive days during which a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; provided, however, that any such judgment or order shall not be subject to this [Section 6.01(f)] to the extent and for so long as # the amount of such judgment or order is covered by a valid and binding policy of insurance between the defendant and the insurer covering payment thereof and # such insurer, which shall be rated at least “A-” by A.M. judgmentsone (1) or orders (other thanmore judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in an aggregate amount in excess of $20,000,000 shall be rendered against the Borrower or any Subsidiary of its Subsidiaries (other than Immaterial Subsidiaries) or any combination thereof and # if not covered by insurance, the Borrower and either # enforcement proceedingssame shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayedremain undischarged for a period of 30 days;sixty (60) consecutive days following the entry of such judgment during which sixty (60) day period such judgment shall not have been vacated, stayed, discharged or bonded pending appeal, or # any action shall be legally taken by a judgment creditor to attach or levy upon any assets of the Borrower or any of its Subsidiaries (other than Immaterial Subsidiaries) to enforce any such judgment;

judgmentsAny judgment or orders (other than judgments or orders in respect of Non-recourse Debt)order for the payment of money exceeding $150,in excess of $200,000,000 in aggregate amount shall be rendered against the Borrower[[Organization A:Organization]] or any Subsidiary of the Borrowerits Subsidiaries and either # enforcement proceedings shall have been commenced by any creditor upon such judgmentsjudgment or ordersorder and such proceedings shall not have been stayed or # such judgments or ordersthere shall continue unsatisfied and unstayed for abe any period of 30 days;consecutive days during which such judgment or order shall remain unpaid and a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; or

judgmentsone or orders (other thanmore judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,in excess of $100,000,000 in the aggregate amount shall be rendered against the Borrower or any Restricted Subsidiary ofor any combination thereof (to the Borrowerextent not paid or covered by a reputable and either # enforcement proceedingssolvent independent third-party insurance company which has not disputed coverage) and the same shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayedremain undischarged for a period of 30 days;consecutive days during which execution shall not be effectively stayed, or any action shall be legally taken by a judgment creditor to attach or levy upon any assets of the Borrower or any Restricted Subsidiary to enforce any such judgment and such action shall not be stayed;

one or more final judgments or orders (other than judgments or orders in respect of Non-recourse Debt) forrequiring the payment of money exceeding $150,in an aggregate amount in excess of $200,000,000 (other than any such judgment covered by insurance to the extent the insurer has been notified thereof in aggregate amountwriting and has not denied liability therefor), shall be rendered against the BorrowerBorrower, any Material Restricted Subsidiary or any Subsidiary ofcombination thereof and the Borrower and either # enforcement proceedingssame shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayedremain undischarged for a period of 30 days;60 consecutive days during which execution shall not be effectively stayed, or any action shall be legally taken by a judgment creditor to attach or levy upon any assets of the Borrower or any Material Restricted Subsidiary to enforce any such judgment;

judgmentsone or orders (other thanmore judgments or orders in respect of Non-recourse Debt) for the payment of money exceedingin an aggregate amount in excess of $150,000,000 in aggregate amount(to the extent not paid, fully bonded or covered by insurance or a third party indemnity) shall be rendered against the Borrower or any Subsidiary of its Subsidiaries or any combination thereof and the Borrower and either # enforcement proceedingssame shall have been commenced by any creditor upon such judgmentsremain undischarged, unvacated or orders or # such judgments or orders shall continue unsatisfied and unstayedundismissed for a period of 30 days;60 consecutive days during which execution shall not be effectively stayed (by reason of pending appeal or otherwise), or any action shall be legally taken by a judgment creditor to attach or levy upon any assets of the Borrower or any of its Subsidiaries to enforce any such judgment and such action shall not have been stayed;

Judgments. There is entered against The Borrower or any Significant Subsidiary # one or more final judgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in an aggregate amount shall(as to all such judgments and orders) exceeding $30,000,000 (to the extent not covered by independent third-party insurance as to which the insurer does not dispute coverage), or # any one or more non-monetary final judgments that have, or could reasonably be rendered againstexpected to have, individually or in the Borrower or any Subsidiary of the Borrower andaggregate, a Material Adverse Effect and, in either case, # enforcement proceedings shall have beenare commenced by any creditor upon such judgmentsjudgment or ordersorder, or # such judgments or orders shall continue unsatisfied and unstayed forthere is a period of 30 days;thirty (30) consecutive days during which a stay of enforcement of such judgment, by reason of a pending appeal or otherwise, is not in effect; or

judgmentsJudgments. A final judgment or orders (other than judgments or orders in respect of Non-recourse Debt)order for the payment of money exceeding $150,000,000 in aggregate amountexcess of One Hundred Thousand Dollars ($100,000) (that is not covered by insurance) shall be rendered against the Borrower or any Subsidiary of its Subsidiaries and the Borrower and either # enforcement proceedingssame shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayedremain undischarged for a period of 30 days;thirty (30) days during which execution shall not be effectively stayed, or any judgment, writ, assessment, warrant of attachment, or execution or similar process shall be issued or levied against a substantial part of the property of Borrower or any of its Subsidiaries and such judgment, writ, or similar process shall not be released, stayed, vacated or otherwise dismissed within thirty (30) days after issue or levy; or
