Notwithstanding the foregoing, if a Participant dies after his or her Termination of Service but while an Option is otherwise exercisable, the portion of the Option that is vested and exercisable on the date of such Termination of Service shall expire upon the earlier to occur of # the Option Expiration Date and # the one-year anniversary of the date of death, unless the Committee determines otherwise.

In the foregoing, if a Participant dies after his or her Terminationevent of the Grantee’s termination of Service but while an Option is otherwise exercisable,due to death or disability during Grantee’s Service, the vested portion of the Option that is vested andshall continue to be exercisable onuntil the date of such Termination of Service shall expire upon the earlier to occur of # the date the Option Expiration Dateexpires by its terms and # the one-yearfirst anniversary of the date of death, unless the Committee determines otherwise.such termination.

Termination Due to Death. If the foregoing, ifParticipant’s Continuous Service terminates as a result of the Participant’s death, or the Participant dies after his or her Terminationwithin a period following termination of the Participant’s Continuous Service but while an Option is otherwise exercisable,during which the vested portion of the Option that isremains exercisable, the vested and exercisableportion of the Option may be exercised by the Participant’s estate, by a person who acquired the right to exercise the Option by bequest or inheritance or by the person designated to exercise the Option upon the Participant’s death, but only within the time period ending on the date of such Termination of Service shall expire upon the earlier to occur of # the Option Expiration Date anddate that is 12 months following the Participant’s death or # the one-year anniversary of the date of death, unless the Committee determines otherwise.Expiration Date.

In the foregoing, if a Participant diesevent of the Grantee’s death occurs after his or her Termination of Service termination but while an Option is otherwise exercisable,during the 90 day period following such termination , the vested portion of the Option that is vested andshall continue to be exercisable onuntil the date of such Termination of Service shall expire upon the earlier to occur of # the date the Option Expiration Dateexpires by its terms and # the one-yearfirst anniversary of the date of death, unless the Committee determines otherwise.Grantee’s death.

Death. In the foregoing, ifevent of the death of a Participant dies after hiswhile in the employ of the Company or her Terminationany Subsidiary and before the date of Service but whileexpiration of an Option is otherwise exercisable,held by such Participant, such Option shall terminate on the portionearlier of the Option that is vested and exercisable onits date of expiration or four (4) years following the date of such Terminationdeath. After the death of Servicethe Participant, the Participant’s executors, administrators, or any person or persons to whom the Participant’s Option may be transferred by will, by the laws of descent and distribution or by beneficiary designation shall expire uponhave the earlierright, at any time prior to occursuch termination, to exercise the Option, in whole or in part. The number of # the Option Expiration DateShares vested and # the one-year anniversaryexercisable, however, shall be determined as of the date of death, unless the Committee determines otherwise.with no further vesting thereafter.

Termination due to Death.
