Office and Support Staff. During the Employment Period, the Executive shall be entitled to an office or offices of a size and with furnishings and other appointments, and to exclusive personal secretarial and other assistance, at least equal to the most favorable of the foregoing provided to the Executive by the Company and its Affiliated Companies at any time during the 90-day period immediately preceding the Effective Date or, if more favorable to the Executive, as provided generally at any time thereafter with respect to other peer executives of the Company and its Affiliated Companies.

Office Space and Administrative Support. During the Term, the Company shall furnish Executive with office space, equipment, supplies and such other facilities and personnel at the Company’s headquarters commensurate with Executive’s position.

Office; Administrative Support; Expense Reimbursement. During the Term, the Company shall provide [[Mr. Kanas:Person]] with # an office at a location in New York, New York as selected by the Company (to be located at 135 East 57th Street), # administrative support provided by [[Mr. Kanas:Person]]' assistant as of immediately prior to the Effective Date (or such replacement as [[Mr. Kanas:Person]] may select upon his current assistant's retirement or termination) on the same basis as provided to [[Mr. Kanas:Person]] prior to the Effective Date, which assistant shall remain an employee of the Company and receive compensation and benefits consistent with past practice, and # business travel and entertainment expense reimbursement consistent with the policies applicable to senior executives of the Company as in effect from time to time.

Support. Throughout the Initial Term, Blackbox shall promptly provide all repairs, bug fixes, patches, and other routine maintenance for the BBTR System (Tier 3 Support), which shall be undertaken in accordance with the terms in Exhibit B (Support Terms) at the sole expense of Blackbox. Blackbox shall have no obligation to provide technical or use support for the BBTR system of any kind directly to BBTR Sublicensees or Customers.

Support. During the Standstill Period, Plants, in his capacity as a director of the Company, will use reasonable efforts to support, at the Company’s sole cost and expense, the Company’s slate of directors in a manner generally consistent with the support provided by the other directors of the Company, provided that such slate of directors is consistent with the terms and conditions of this Agreement.

Employment. Employee is employed as the Executive Vice President-Chief Financial Officer of the Bank. Employee’s responsibilities, duties, prerogatives and authority in such offices, and the clerical, administrative and other support staff and office facilities provided to Employee, shall be those customary for persons holding such offices of institutions that are a part of the financial institutions industry.

Lending Office. The Lender at its option may make any Loan by causing any domestic or foreign branch or Affiliate of the Lender to make such Loan; provided that any exercise of such option shall not affect the obligation of the Company to repay such Loan in accordance with the terms of this Agreement.

Office Equipment. Following Closing, until the earlier of ninety (90) days after the Closing Date or the date that is thirty (30) days after receipt by Seller of written notice by Purchaser, # the Seller Parties shall make available for Purchaser's reasonable use in connection with the Seller Business the office equipment and other personal property specified on [Schedule 7.5] (the “Office Equipment”), and # Purchaser shall, as consideration for such use, pay to or as directed by Seller in advance a monthly cash payment in the amount set forth in the Transition Services Agreement.

OFFICE FACILITIES. During the Employment Period under this Agreement, the Employee shall have the Employee’s office where the Corporation’s principal executive offices are located from time to time, which currently are at 7201 Metro Boulevard, Edina, Minnesota.

Operator may charge the Joint Account for all cost of services performed with the approval of Operator by the technical and professional personnel of Non-Operators and their Affiliates The costs of such services include salaries and wages, lost time, governmental assessments, employee benefits, rent, utilities, clerical support staff, drafting, telephone and other communication expenses, computer support, supplies, depreciation, and other reasonable costs
