The Borrower, its Subsidiaries and each Subsidiary, to the knowledge of any BorrowerAffiliates have implemented and its Subsidiaries, have used reasonable efforts to conduct their businesses in compliance with applicable anti-corruption laws, and have instituted and maintainedmaintain policies and procedures designed to promote and achieveensure compliance with such lawsAnti-Corruption Laws.

Borrower, its Subsidiaries and their respective directors, officers and employees and, to the Knowledge of the Borrowers and each Subsidiary, toBorrower, the knowledgeagents of anythe Borrower and its Subsidiaries, have used reasonable efforts to conduct their businessesare in compliance with applicable anti-corruption laws,Anti-Corruption Laws and applicable Sanctions. The Borrower and its Subsidiaries have instituted and maintainedmaintain policies and procedures designed to promote and achieve continued compliance with such lawstherewith.

The Borrower and its Subsidiaries,Subsidiaries have used reasonable efforts to conductconducted their businesses in compliance with Anti-Corruption Laws and applicable anti-corruption laws,Sanctions and have instituted and maintained policies and procedures designed to promote and achieve compliance with such lawsAnti-Corruption Laws and applicable Sanctions. No Borrowing or Letter of Credit or use of proceeds thereof will violate Anti-Corruption Laws or applicable Sanctions.

The Borrower has implemented and maintains in effect policies and procedures reasonably designed to ensure compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents while acting on behalf of the BorrowersBorrower or its Subsidiaries with Anti-Corruption Laws and each Subsidiary,applicable Sanctions.
