Required Notice. The Administrative Agent shall have timely received a Notice of Borrowing or a Letter of Credit Application, as applicable;

Written Notice Required. Any purported termination of employment, whether by the Company or by the Participant, shall be communicated by written notice to the other (a "Notice of Termination").
