PromptlyWithin five (5) Business Days after becoming aware of the commencement thereof, noticeexistence of all actions, suits, and proceedingsany action, suit or proceeding at law or in ​ before any Governmental AuthorityTribunal, an adverse outcome in which would # materially impair the ability of Borrowers to carry on their businesses substantially as now conducted, # materially and adversely affect the condition (financial or arbitrator affecting Borrowerotherwise) of Borrowers, or any of its Subsidiaries which,# result in monetary damages, Borrowers will give the Bank a written notice specifying the nature thereof and what actions, if determined adverselyany, Borrowers are taking and proposes to Borrower or such Subsidiary, could reasonably be expected to be a Material Adverse Event;take with respect thereto.

NoticePromptly, and in any event within ten (10) Business Days, after an Authorized Officer obtains Knowledge thereof, # the pendency or commencement of Litigation. Promptly afterany litigation, arbitration or governmental proceeding against the commencement thereof, noticeBorrower or any Subsidiary which, in the opinion of all actions, suits, and proceedings beforethe Borrower’s management, if adversely determined, would have or would reasonably be expected to have a Material Adverse Effect, # the institution of any Governmental Authority or arbitrator affecting Borrowerproceeding against any Loan Party or any of its Restricted Subsidiaries which, if determined adversely to Borrowerwith respect to, or the receipt of notice by such Subsidiary, couldPerson of potential liability or responsibility for violation or alleged violation of, any law, rule or regulation (including any Environmental Law) which would reasonably be expected to behave a Material Adverse Event;Effect and # any casualty or other insured damage to any material portion of the Collateral or the commencement of any action or proceeding for the taking of any material portion of the Collateral or interest therein under power of eminent domain or by condemnation or similar proceeding.
