Notice of Events of Termination or Unmatured Events of Termination. A statement of a Financial Officer of the Servicer setting forth details of any Event of Termination or Unmatured Event of Termination that has occurred and is continuing and the action which the Servicer proposes to take with respect thereto.

“Unmatured [[Organization B:Organization]] Termination Event” means any event which, with the giving of notice or lapse of time or both, would constitute a [[Organization B:Organization]] Termination Event.

No Event of Default, Unmatured Event of Default or Facility Amortization Event, or Servicer Termination Event or any event that with the giving of notice of the lapse of time, or both, would constitute a Servicer Termination Event has occurred and is continuing.

A Participant shall receive advance written notice of a termination by the Company in connection with a Qualifying Event when practicable, but in no event is advance written notice required.

“Unmatured Event of Default” means an event that, with the giving of notice or lapse of time, or both, would constitute an Event of Default.

Notice of Certain Events. As soon as reasonably practicable and in any event within three (3) Business Days after any Responsible Officer of the Borrower obtains knowledge of the occurrence of each Event of Default, [[Organization B:Organization]] Termination Event, Default (if such Default is continuing on such date) or Unmatured [[Organization B:Organization]] Termination Event, the statement of a Responsible Officer of the Borrower setting forth the details of such event and the action which the Borrower is taking or proposes to take with respect thereto.

Immediately prior, and after giving all effect, to this Amendment, no event, condition or circumstance has occurred and is continuing which constitutes a [[Organization B:Organization]] Termination Event, Unmatured [[Organization B:Organization]] Termination Event, Default or Event of Default.

“Unmatured Default” means an event which, but for the lapse of time or the giving of notice, or both, would constitute a Default.
