Nontransferable. Unless the Committee provides otherwise, # no rights under this Award will be assignable or transferable, and neither you nor your Beneficiary will have any power to anticipate, alienate, dispose of, pledge or encumber any rights under this Award, and # the rights and the benefits of this Award may be exercised and received during your lifetime only by you or your legal representative.

Shares Nontransferable. Neither the Shares nor any interest therein will be transferable or assignable other than by will or the laws of descent and distribution prior to the Vesting Date.

RSUs Nontransferable. Neither the RSUs nor any interest therein will be transferable or assignable other than by will or the laws of descent and distribution prior to payment.

Restricted Units Nontransferable. Restricted Units awarded pursuant to this Agreement may not be sold, exchanged, pledged, transferred, assigned, or otherwise encumbered, hypothecated or disposed of by Grantee (or any beneficiary) other than by will or laws of descent and distribution, and any such purported Transfer shall be null and void ab initio.

Each Participant’s rights under this Plan shall be nontransferable except by will or by the laws of descent and distribution.

Licensee desires to acquire a royalty-free, nonexclusive and nontransferable license under the Patent to make and use a system and methods for compressed-gas energy storage; and

#​ grant to ​. Subject to the terms of the Agreement, ​ hereby grants to ​ a royalty-free, non-exclusive, nontransferable, non-sub licensable (except as expressly provided herein),

Non-assignability and Non-transferability. The rights and obligations of the Employee under this Agreement are expressly declared and agreed to be personal, nonassignable and nontransferable during the Employee’s life.

Subject to the terms of the Agreement, ​ grants to ​ a worldwide, nonexclusive, nontransferable, perpetual, irrevocable license to manufacture, or have manufactured, use and import and directly or indirectly sell, offer to sell and otherwise dispose of ​ Product as limited in this Section 8.6. ​ covenants and agrees that it shall have the option to exercise the rights granted pursuant to this [Section 8.6.2] upon the occurrence of one or more of the Trigger Events set forth in [Section 8.6.2.1] below.

Non-Transferability of Awards. Awards shall be nontransferable other than by will or the laws of descent and distribution, and Awards may be exercised, during the lifetime of the holder, only by the holder (or the holder’s duly appointed guardian or personal representative); provided, however, that Awards other than Incentive Stock Options may be transferred # by the holder to a family member, trust, charity, or similar organization for estate planning purposes and # with the approval of the Committee, as directed under a qualified domestic relations order.
