Nonsolicitation. While engaged by the Company as a Consultant, and for a period of one (1) year thereafter, the Consultant shall not directly or indirectly:

Nonsolicitation. Executive hereby agrees for the duration of Executive’s employment with ​ and for the duration of the Restrictive Period, Executive shall not, either individually or by or through any agent, representative, entity, employee or otherwise:

Nonsolicitation. For a period of twelve (12) months after the Termination Date, Executive shall not employ or retain or solicit for employment or arrange to have any other person, firm, or other entity employ or retain or solicit for employment or otherwise participate in the employment or retention of any person who is an employee or consultant of the Company or any subsidiary thereof. Nothing in the foregoing shall preclude Executive’s rights to make generalized searches for employees by use of media advertisements that do not specifically target such individuals.

Nonsolicitation. During the term of this Agreement, each Party agrees that neither it nor any of its Affiliates will knowingly recruit, solicit or induce, directly or indirectly, any employee of the other Party or any of its Affiliates directly involved in the Research, Development, Manufacture or Commercialization activities with respect to any Research Candidates, Development Candidates or Products to terminate his or her employment with the other Party or such Affiliate and become employed by or consult for such Party or any of its Affiliates. For purposes of the foregoing sentence, “recruit”, “solicit” or “induce” will not be deemed to mean # circumstances where an employee initiates contact with such Party or any of its Affiliates with regard to possible employment, or # general solicitations of employment not specifically targeted at employees of the other Party or any of its Affiliates, including responses to general advertisements.

Employee Confidentiality, Assignment and Nonsolicitation Agreement

NONSOLICITATION OF EMPLOYEES COVENANT. Employee agrees that during his/her employment with [[Organization A:Organization]] and during the Restriction Period, Employee will not: # solicit any of [[Organization A:Organization]]’s executives, employees, agents or independent contractors to terminate any business relationship with [[Organization A:Organization]]; # on behalf of any other individual or entity, encourage or hire (or assist anyone else to hire) any of [[Organization A:Organization]]’s executives, agents, employees or independent contractors or any person who was a [[Organization A:Organization]] executive, agent, employee or independent contractor at any time in the 90 days prior to such actions (“Former [[Organization A:Organization]] Associates”); and/or # provide to any other individual or entity the identity of any of [[Organization A:Organization]]’s executives, agents, employees or independent contractors that Employee considers important, valuable, and/or critical to [[Organization A:Organization]]’s business or of any Former [[Organization A:Organization]] Associate that was important, valuable and/or critical to the [[Organization A:Organization]]’s business.

Nonsolicitation of Vendors/Employees. In order to prevent the improper use of Confidential Information, Company Intellectual Property and Trade Secrets and the resulting unfair competition and misappropriation of Goodwill and other proprietary interests, Employee agrees that while Employee is employed by Company and for a period of twelve (12) months following the termination of Employee’s employment for any reason whatsoever, whether such termination is voluntary or involuntary, and regardless of Cause, Employee will not, directly or indirectly, on Employee’s own behalf or by aiding any other individual or entity:

Exclusive Employment; Noncompetition; Nonsolicitation; Nondisclosure of Proprietary Information; Surrender of Records; Inventions and Patents.

Strict compliance with the terms of any NonCompete/NonSolicitation Agreement attached hereto as Exhibit D.

the breach by the Participant of any restrictive covenant (e.g., noncompetition or nonsolicitation) to which the Participant is subject;
