Nondisparagement contract clause examples

Nondisparagement. You agree not to disparage the Company, its officers, directors, employees, shareholders, and agents, in any manner likely to be harmful to its or their business, business reputation, or personal reputation. Further, the Company agrees (through its officers and directors) not to disparage you in any manner likely to be harmful to you or your business reputation or personal reputation. Notwithstanding the foregoing, each party and each person covered by this paragraph may respond accurately and fully to any request for information as required by legal process. In addition, nothing in this section or this Agreement is intended to prohibit or restrain you in any manner from making disclosures protected under the whistleblower provisions of federal law or regulation or under other applicable law or regulation.

Nondisparagement. The Employee shall not engage in any conduct, verbal or otherwise, to disparage or harm the Released Parties’ reputations. Such conduct shall include, but not be limited to, any negative remarks made orally or in writing by the Employee about the Released Parties.

Nondisparagement. At all times, the Executive agrees not to disparage the Company or otherwise make comments harmful to the Company's reputation.

Nondisparagement. Subject to the Protected Activity Not Prohibited section, Employee agrees to refrain from any disparagement, defamation, libel, or slander of any of the Releasees, and agrees to refrain from any tortious interference with the contracts and relationships of any of the Releasees. Employee shall direct any inquiries by potential future employers to the Company’s human resources department, which shall use reasonable, good faith efforts to provide only the Employee’s last position and dates of employment.

Nondisparagement. Employee shall not, and shall not encourage others to, make or publish any disparaging statements (whether written or oral) regarding the Company and/or its parents, subsidiaries, or affiliates, and/or their respective employees, officers, directors, products, services, or owners, and the Company and Parent shall not, and shall use commercially reasonable efforts to cause their directors and executive officers not to, make or publish any disparaging statements (whether written or oral) regarding Employee.

Employee shall direct any inquiries by potential future employers to the Company’s human resources department, which shall use its reasonable good faith efforts to provide only the Employee’s last position, dates of employment and confirmation that Employee’s position was eliminated as part of a reduction in workforce.

Nondisparagement. Employee agrees to refrain from any disparagement, defamation, libel, or slander of any of the Releasees, and agrees to refrain from any tortious interference with the contracts and relationships of any of the Releasees.

Nondisparagement. You agree not to disparage the Company, and the Company’s officers, directors, employees, parents and subsidiaries, in any manner which could reasonably cause substantial harm to them or their business, business reputation or personal reputation, and the Company agrees to instruct its current executive officers and directors to not disparage you in any manner which could reasonably cause substantial harm to you or your business, business reputation or personal reputation; provided that you and the Company and its executive officers and directors may respond accurately to any question, inquiry or request for information if required by legal process or in connection with a government investigation. In addition, nothing in this provision or this Agreement is intended to prohibit or restrain you in any manner from making disclosures that # are protected under the whistleblower provisions of federal or state law or regulation or under other applicable law or regulation, nor prevent you from disclosing information about unlawful acts in the workplace, including, but not limited to, sexual harassment or # which in good faith you reasonably deem necessary in the performance of your duties to the Company either prior to the Retirement Date or under the Consulting Agreement.

You agree not to disparage the Company, its officers, directors, employees, shareholders, parents, subsidiaries, affiliates, and agents, in any manner likely to be harmful to its or their business, business reputation, or personal reputation; provided that you may respond accurately and fully to any question, inquiry, or request for information if required by legal process or in connection with a government investigation. In addition, nothing in this provision or this Agreement is intended to prohibit or restrain you in any manner from making disclosures that are protected under the whistleblower provisions of federal or state law or regulation or under other applicable law or regulation or as set forth in the section of this Agreement entitled “Protected Rights.” The Company’s executive “C” level agents likewise agree not to disparage you or any of your agents in any manner likely to be harmful to you or your business, business reputation, or personal reputation; provided that the Company may respond accurately and fully to any question, inquiry, or request for information if required by legal process, or in connection with a government investigation.

Nondisparagement. The Executive shall not disparage the Company or any of its affiliates or their respective directors, officers, employees as a group, agents, shareholders, successors, and assigns (both individually and in their official capacities with the Company) (the “Company Parties”) or any Company Parties’ goods, services, employees as a group, customers, business relationships, reputation, or financial condition.
