During the Restricted Period, Executive shall not: # solicit or induce, or attempt to solicit or induce, any employee of the Company or its Affiliates to leave the employ of the Company or such Affiliate; or # solicit or attempt to solicit the business of any client or customer of the Company or its Affiliates with respect to products, services, or investments similar to those provided or supplied by the Company or its Affiliates.

Nonsolicitation.Employee Non-Solicitation. During the Restricted Period, ExecutiveEmployee shall not: #not, directly or indirectly, except for the benefit of the Company, solicit or induce, or attempt to solicit or induce, any employeeemployee, contractor or consultant of the Company to terminate, reduce or its Affiliatesotherwise alter to leave the employdetriment of the Company or such Affiliate; or # solicit or attempt to solicitperson’s business relationship with the business of any client or customer of the Company or its Affiliates with respect to products, services, or investments similar to those provided or supplied by the Company or its Affiliates.Company.

During the Non-Solicitation Restricted Period, Executive shall not: # solicitagrees to not, directly or induce,indirectly, as an equity holder, member, partner, proprietor, director, manager, officer, employee, consultant, investor or attempt to solicit or induce,in any employee of the Company or its Affiliates to leave the employ of the Company or such Affiliate; or #other capacity, solicit or attempt to solicitsolicit, or take any actions that are calculated to persuade or that could reasonably be expected to persuade, any Person who is, or in the businesstwelve (12)-month period immediately preceding the termination of the Term of Employment, has been a customer, client, owner or tenant of any clientproperty managed by the Company, vendor, supplier, distributor, licensor, licensee, sales representative, referral source, sales agent, consultant or customerother material business relation of the Company to cease doing business with, or to alter or limit its Affiliates with respect to products, services, or investments similar to those provided or supplied bybusiness relationship with, the Company or its Affiliates.Company.

During theNon-Solicitation Restricted Period, Executive shall not:agrees to not, directly or indirectly, as an equity holder, member, partner, proprietor, director, manager, officer, employee, consultant, investor or in any other capacity, # hire, solicit or induce,otherwise participate in the solicitation, hiring or recruitment of, whether as an employee, consultant or otherwise, any Person who is, or within the twelve (12)-month period immediately preceding the date of such solicitation, hiring or other participation in the solicitation, hiring or recruitment was, an employee, consultant or independent contractor of the Company, or # take any actions intended to persuade any employee, consultant or independent contractor of the Company to terminate his or her association with the Company; provided that general solicitations of employment published in a journal, newspaper or other publication of general circulation or listed on any internet job site and not specifically directed towards such employees shall not be deemed to constitute solicitation for purposes of this Section 6(e)(ii) so long as Executive does not hire, attempt to hire or participate in the hire or attempt to solicit or induce,hire any employee of the Company or its Affiliatessuch Person who responds to leave the employ of the Company or such Affiliate; or # solicit or attempt to solicit the business of any client or customer of the Company or its Affiliates with respect to products, services, or investments similar to those provided or supplied by the Company or its Affiliates.solicitations.

During the Restricted Period, Executive shall not:the Employee agrees that he or she will not, directly or indirectly, for his own account or on behalf of any other person or entity, # solicitsolicit, call upon or accept business from, any customer of the Company with whom Employee (or any person supervised or directed by Employee) has had direct personal contact, or about whom Employee has learned Confidential Information or other business information in the course of Employee’s employment with the Company (a “Restricted Customer”); or # interfere with the business relationship between the Restricted Customer and the Company; or # solicit, induce, persuade or hire, or attempt to solicitsolicit, induce, persuade or induce,hire, or assist any third party in the solicitation, inducement, persuasion or hiring of, any employee of the Company or its Affiliateswho worked for the Company during Employee’s tenure with the Company, to leave the employ of the Company or such Affiliate; or # solicit or attempt to solicit the business of any client or customer of the Company or its Affiliates with respect to products, services, or investments similar to those provided or supplied by the Company or its Affiliates.Company.
