Nonsolicitation. For a period of twelve (12) months after the Termination Date, Executive shall not employ or retain or solicit for employment or arrange to have any other person, firm, or other entity employ or retain or solicit for employment or otherwise participate in the employment or retention of any person who is an employee or consultant of the Company or any subsidiary thereof. Nothing in the foregoing shall preclude Executive’s rights to make generalized searches for employees by use of media advertisements that do not specifically target such individuals.

Non-solicitation. For a period of twelve (12) months afterfollowing the Termination Date, Executive shall not employdirectly, or retainindirectly through others, knowingly induce or solicit for employmentattempt to induce any officer, employee, or arrange to have any other person, firm,consultant or other entity employindependent contractor of the Company currently employed by the Company with whom Executive had contact, knowledge of, or retain or solicit for employment or otherwise participateassociation in the course of Executive’s employment or retention of any person who is an employee or consultant ofwith the Company or any subsidiary thereof. Nothingof its affiliates, as the case may be, to terminate his or her employment with the Company or any of its affiliates and accept employment, directly or indirectly, with the Executive or induce such officer, employee or consultant or other independent contractor to commence employment with any other company or affiliates of a company, and shall not, either directly or indirectly through others, knowingly assist any other person or entity in the foregoing shall preclude Executive’s rights to make generalized searches for employeessuch an inducement and hiring (regardless of whether any such officer, employee, consultant or independent contractor would commit a breach of contract by use of media advertisements that do not specifically target such individuals.terminating his or her employment).

During Executive’s employment and for a period of twelve (12) months after the Termination Date,termination of Executive’s employment for any reason, Executive shall not employ(other than in furtherance of Executive’s legitimate job duties on behalf of Company), directly or retainindirectly, on Executive’s own behalf or for any other Person: # solicit for employmentemployment, hire or arrangeengage, or attempt to have any other person, firm, or other entity employ or retain or solicit for employmentemployment, hire or otherwise participate in the employment or retention ofengage, any person who is an employee or consultant ofwas employed by the Company within the six (6) month period prior to the solicitation or hire, or # otherwise interfere with the employment relationship between any subsidiary thereof. Nothingsuch person and the Company Group. Notwithstanding the foregoing, nothing in this Agreement shall restrict general advertisements and general solicitations not directed specifically at persons employed by the foregoing shall preclude Executive’s rights to make generalized searches for employees by use of media advertisements that do not specifically target such individuals.Company Group.

Nothing in the foregoing shall preclude Executive’s rights to make generalized searches for employees by use of media advertisements that do not specifically target such individuals.competing company or competing business organization.

Section # Non-Solicitation of Executives. Nothingits affiliates with whom Executive had contact, knowledge of, or association with in the course of employment with the Company to terminate his employment, and will not assist any other person or entity in such a solicitation; PROVIDED, HOWEVER, that with respect to soliciting any executive or officer whose employment was terminated by the Company or its affiliates, or general solicitations for employment not targeted at current officers or employees of the Company or its affiliates, the foregoing restriction shall preclude Executive’s rights to make generalized searches for employees by use of media advertisements that do not specifically target such individuals.apply.

Non-solicitation. During the Employment Period and for a two-year period following the termination of twelve (12) months after the Termination Date,Executive's employment with the Company, the Executive shall not employnot, directly or retainindirectly, on behalf of the Executive or for any other business, person or entity, entice, induce or solicit for employment or arrangeattempt to have any other person, firm, or other entity employ or retainentice, induce or solicit for employment or otherwise participate in the employment or retention of any person who is an employee or consultant of the Company or its Subsidiaries or other Affiliates to leave the Company's employ (or the employ of such Subsidiary or other Affiliate) or to hire or to cause any subsidiary thereof. Nothing inemployee of the foregoing shall preclude Executive’s rightsCompany to make generalized searchesbecome employed for employees by use of media advertisements that do not specifically target such individuals.any reason whatsoever.

Non-Solicitation. During the period beginning with the Effective Date and ending [two (2)] years following the termination of Executive's employment, Executive shall not: # induce, or attempt to induce, employees of ​ or any Subsidiary to terminate their employment; # solicit or encourage any of ​'s or any Subsidiary's customers, or joint venture partners to terminate or diminish their relationship with ​ or any Subsidiary; or # solicit or encourage any person or entity in a periodcontractual relationship with ​ or any Subsidiary to violate any agreement with any of twelve (12) months after the Termination Date,them. During such period, Executive shall not employhire, either directly or retainthrough any employee, agent or solicit for employmentrepresentative, any employee of ​ or arrange to have any other person, firm,Subsidiary or other entity employ or retain or solicit for employment or otherwise participate in the employment or retention of any person who is an employee or consultant of the Companywas employed by ​ or any subsidiary thereof. Nothing in the foregoing shall preclude Executive’s rights to make generalized searches for employees by useSubsidiary within 180 days of media advertisements that do not specifically target such individuals.hiring.
