Non-Survival of Representations and Warranties. The representations and warranties respectively made by Sellers and Purchaser in this Agreement and in any certificate delivered hereunder will expire as of the Closing or any termination of this Agreement, as applicable. Following the Closing or any termination of this Agreement, as applicable, no claim with respect to any breach of any representation or warranty contained in this Agreement may be pursued or maintained (either hereunder or otherwise) against any other Party.
