Non-Solicitation of Employees: Executive agrees that, during the Employment Period, and for a period of twenty-four (24) months following the termination of Executive’s employment, regardless of the reason for such termination, Executive will not, directly or indirectly, solicit, or attempt to solicit, for employment, with Executive or with any other person or entity, any employee of the Company.

Non-Solicitation of Employees: Executive agrees that, during the Employment Period,Executives. During Executive’s employment and for a period of twenty-four (24)twelve (12) months followingafter the termination of Executive’s employment, regardlessemployment for any reason, Executive shall not (other than in furtherance of the reason for such termination, Executive will not,Executive’s legitimate job duties on behalf of Company), directly or indirectly, solicit,on Executive’s own behalf or for any other Person: # solicit for employment, hire or engage, or attempt to solicit,solicit for employment, hire or engage, any person who is or was employed by the Company within the six (6) month period prior to the solicitation or hire, or # otherwise interfere with Executive or withthe employment relationship between any othersuch person or entity, any employee ofand the Company.Company Group. Notwithstanding the foregoing, nothing in this Agreement shall restrict general advertisements and general solicitations not directed specifically at persons employed by the Company Group.

Executive agrees that, during the Employment Period, andthat for a period of twenty-four (24) monthstwo (2) years following the termination of Executive’s employment, regardless of the reason for such termination,Termination Date, Executive will not,shall not directly or indirectly, solicit,indirectly solicit or attempt to solicit, for employment, with Executive or with any other person or entity,induce any employee of the Company.Company, any successor corporation, or a subsidiary of Company to work for Executive or any competing company or competing business organization.

Non-Solicitation of Employees: Executive agrees that, during the Employment Period,Employees. During Executive’s employment and for athe one-year period of twenty-four (24) months following the termination of Executive’s employment, regardless of theemployment for any reason for such termination,(the “Coverage Period”), Executive will not,hereby agrees not to, directly or indirectly, solicit, hire, seek to hire, or attempt to solicit, for employment, with Executive or withassist any other person or entity,entity (on her own behalf or on behalf of such other person or entity) in soliciting or hiring any employeeperson who is at that time an employee, consultant, independent contractor, representative, or other agent of the Company.Company or any of its Affiliates to perform services for any entity (other than the Company or its Affiliates), or attempt to induce or encourage any such employee to leave the employ of the Company or its Affiliates.

During the Employment Period,Period and for a two-year period of twenty-four (24) months following the termination of Executive’the Executive's employment, regardless ofemployment with the reason for such termination,Company, the Executive willshall not, directly or indirectly, solicit,on behalf of the Executive or for any other business, person or entity, entice, induce or solicit or attempt to solicit, for employment, with Executiveentice, induce or with any other person or entity,solicit any employee of the Company.Company or its Subsidiaries or other Affiliates to leave the Company's employ (or the employ of such Subsidiary or other Affiliate) or to hire or to cause any employee of the Company to become employed for any reason whatsoever.

Executive agrees that,that during the Employment Period,term of this Agreement and for a period of twenty-four (24) months followingone (1) year after the termination of Executive’s employment, regardless of the reason for such termination,this Agreement, Executive will not, either directly or indirectly, solicit,separately or attempt to solicit, for employment,in association with Executiveothers, interfere with, impair, disrupt or withdamage the Company’s business by soliciting, encouraging or recruiting any other person or entity, any employee of the Company’s employees or causing others to solicit or encourage any of the Company’s employees to discontinue their employment with the Company.

During the Period of Employment Period, and for a period of twenty-twenty four (24) months followingafter the termination of Executive’s employment, regardless ofSeverance Date, the reason for such termination, Executive will not,not directly or indirectly,indirectly through any other Person solicit, induce or encourage, or attempt to solicit, for employment, with Executiveinduce or with any other person or entity,encourage, any employee or independent contractor of the Company.Company or any Affiliate of the Company to leave the employ or service, as applicable, of the Company or such Affiliate, or become employed or engaged by any third party, or in any way interfere with the relationship between the Company or any such Affiliate, on the one hand, and any employee or independent contractor thereof, on the other hand.
