Non-Solicit. For the period of one (1) year after the date on which Participant’s employment or service to the Company Group is terminated for any reason, Participant will not, either directly or indirectly:

Non-Compete and Non-Solicit. While employed by Employer or any other Related Company, Executive will not, directly or indirectly, engage in or render any service of a business, commercial or professional nature to any other person, entity or organization, whether for compensation or otherwise, that is in competition with Employer or any other Related Company anywhere in the world. In accordance with this restriction, but without limiting its terms, Executive will not:

Non-Solicit. During the Employment Period and for a period thereafter of # in the case of a termination pursuant to Section 4(c), twenty-four (24) months or # in the case of all other terminations of employment, eighteen (18) months (the “Non-Solicit Period”), Executive shall not directly or indirectly through another Person (other than on behalf of Acadia and the Subsidiaries) # induce or attempt to induce any employee or independent contractor of Acadia or the Subsidiaries to leave the employ or services of Acadia or the Subsidiaries, or in any way willfully interfere with the relationship between Acadia and the Subsidiaries and any employee or independent contractor thereof, # hire or seek any business affiliation with any person who was an employee or independent contractor of Acadia or the Subsidiaries at any time during the twelve (12) months prior to the Termination Date or # willfully induce or attempt to induce any customer, supplier, licensee, licensor or other business relation of Acadia or any Subsidiary to cease doing business with Acadia or such Subsidiary or willfully interfere with the relationship between any such customer, supplier, licensor or other business relation and Acadia or any Subsidiary.

Non-Solicit. Without the Company’s prior written consent, the Executive will not, during the Noncompete Period, directly or indirectly, solicit or offer employment to any person who has been employed by the Company or its Affiliates at any time during the twelve months immediately preceding such solicitation.

Non-Solicit. The Executive agrees that, during the Restricted Period, the Executive will not directly or indirectly # solicit or encourage any customer of the Company or any of its Affiliates to terminate or diminish its relationship with them; or # seek to persuade any such customer or prospective customer of the Company or any of its Affiliates to conduct with anyone else any business or activity which such customer or prospective customer conducts or could conduct with the Company or any of its Affiliates; provided that these restrictions shall apply only with respect to those Persons who are or have been a customer of the Company or any of its Affiliates at any time within the immediately preceding two year period or whose business has been solicited on behalf of the Company or any of its Affiliates by any of their officers, employees or agents within said two year period, other than by form letter, blanket mailing or published advertisement.

Non-Solicit. For a period of twelve (12) months from and after Closing, except for the employee designated on [Schedule 4.9] attached hereto, Emmis shall not, and shall not permit its Affiliates to, without the prior written consent of Sinclair, for their own account or on behalf of any other Person # hire any Transferred Employee or # solicit for hire any Transferred Employee, provided, that this clause (ii) does not restrict general solicitations not specifically directed at Transferred Employees.

Non-Solicit. Licensee, without the prior written consent of Licensor, during the Term, will not solicit, induce, encourage, or participate in soliciting, inducing, or encouraging any employee of Licensor, or any of its Affiliates, in each case who have been ​ in the ​ prior to ​, to terminate his or her relationship with Licensor or Licensor’s Affiliate and accept employment with Licensee. An offer of employment to an employee of Licensor by Licensee which results directly from unsolicited responses to general advertisements for employment or from an unsolicited inquiry by such employee will not be a violation of this provision.

Non-Solicit. For a period of two (2) years from the date hereof, Seller shall not, and shall cause each of its Affiliates not to, directly or indirect, solicit the employment of, or cause or attempt to cause to leave the employment of any Acquired Company, any Person who is, or was in the prior six (6) months, employed by any Acquired Company; provided, however, that this [Section 6.11(b)] shall not apply to, or restrict, Seller or its Affiliates from soliciting or hiring any employee # who responds to a general solicitation or advertisement that is not specifically targeted or direct at employees of any Acquired Company or # whose employment has been terminated by any Acquired Company.

Non-Solicit. Without the prior written consent of the other Party, each of Clearside and Bausch Health agrees that, ​, neither it nor any of its Affiliates will directly or indirectly solicit for purposes of hiring any person employed by the other Party or any of their Affiliates or who was employed by the other Party or any of their Affiliates within the then prior ​, or in any manner seek to induce any such person to leave his or her employment; provided, however,
